Parties

Recitals

WHEREAS, Party A is engaged in the business of operating and managing commercial activities and requires certain third-party professional services to perform transient processing services ("TPS Services"); and

WHEREAS, Party B represents that it possesses the experience, personnel, and capacity to provide the TPS Services described in this Agreement and is willing to provide such services under the terms and conditions set forth herein; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the TPS Services to be provided by Party B to Party A.

Scope of Work

Party B shall provide TPS Services to Party A in accordance with the specifications, schedules, deliverables, and performance standards set forth below. Party B shall perform all work in a professional and workmanlike manner consistent with industry standards.

Payment Terms

In consideration for the TPS Services, Party A shall pay Party B as follows:

All payments shall be made in lawful currency of the United States unless otherwise agreed in writing. Party B shall submit invoices in sufficient detail to permit Party A to verify charges. Unless expressly disputed in writing within ten (10) days of receipt, invoices will be deemed accepted.

Term and Termination

This Agreement commences on the Effective Date and shall continue until the End Date, unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified above. Termination shall not relieve either party of obligations accrued prior to termination, including payment for services rendered.

Confidentiality

Each party (the "Receiving Party") acknowledges that it may receive Confidential Information from the other party (the "Disclosing Party"). For purposes of this Agreement, Confidential Information means non-public business, technical, financial, or operational information disclosed in any form and designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The Receiving Party shall (i) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but not less than a reasonable degree of care; (ii) use Confidential Information solely to perform obligations under this Agreement; and (iii) not disclose Confidential Information to any third party except to its employees, agents, or subcontractors who have a need to know and are bound by confidentiality obligations no less restrictive than those herein.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties agree to attempt mediation in good faith prior to initiating litigation. If mediation is unsuccessful, disputes shall be resolved in the state or federal courts located in the specified governing state.

Indemnification

Party B shall indemnify, defend and hold harmless Party A, its officers, directors, and employees from and against any third-party claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from Party B's negligent performance, willful misconduct, or breach of this Agreement.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the parties with respect to the TPS Services and supersedes all prior and contemporaneous understandings, proposals, negotiations, and agreements, whether written or oral. No amendment or modification of this Agreement shall be effective unless made in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, sale of substantially all assets, or corporate reorganization. The invalidity of any provision shall not affect the remainder of this Agreement.
