All invoices shall include reasonable documentation of hours, milestones achieved and metrics reported. Disputed amounts shall be raised in writing within the payment due period; undisputed portions remain payable when due.

Either party may terminate this Agreement for material breach if such breach remains uncured thirty (30) days after written notice specifying the breach. Termination for convenience requires the providing of the notice set forth above and payment for services rendered and documented through the termination effective date.

CONFIDENTIALITY

The parties acknowledge that during performance of the Scope of Work each may receive Confidential Information of the other. "Confidential Information" includes non-public business information, plans, metrics, customer lists, financial data, product roadmaps, reports, and any aggregated tracking data produced under this Agreement. Recipient shall: (a) use Confidential Information only for performance of this Agreement; (b) restrict disclosure to those employees, contractors or agents with a need to know; and (c) protect Confidential Information with at least the same degree of care used to protect Recipient's own confidential information, but in no event less than reasonable care.

Confidentiality Term (duration): from disclosure. Exceptions include information that is or becomes public through no fault of Recipient, independently developed by Recipient without use of Confidential Information, or required to be disclosed by law or valid process; in such event Recipient shall give prompt notice where legally permitted and cooperate to seek protective measures.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of: , without regard to conflict of laws principles. Venue for any dispute arising out of this Agreement shall be in the appropriate state or federal courts of that jurisdiction.

ENTIRE AGREEMENT

This Agreement, including all attachments and the completed tracking data delivered pursuant to the Scope of Work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral, relating to such subject matter. Each party represents and warrants that it has the authority to enter into this Agreement and perform its obligations. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a merger or sale of substantially all assets where the assignee assumes the obligations hereunder.
