Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period specified above. CONFIDENTIALITY

The receiving party shall not disclose Confidential Information to any third party except to its employees, agents, or advisors on a strictly need-to-know basis and subject to confidentiality obligations at least as protective as those contained herein. Confidential Information shall not include information that is or becomes publicly available through no fault of the receiving party or was independently developed by the receiving party without reference to Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This document, including any schedules or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties.
