This Business Trading Name Change Agreement (the "Agreement") is made and entered into on by and between the parties set forth below.

Recitals

WHEREAS, Company is duly organized and validly existing under the laws of and desires to adopt a new trading name for the conduct of its business; and

WHEREAS, Company currently conducts business under the trading name and seeks to change its trading name to effective as of ; and

WHEREAS, Agent is engaged in providing administrative and filing services and is willing to assist Company in effecting the trading name change in accordance with the terms and conditions set forth herein.

Scope of Work

Agent shall perform the following services to effect the change of Company's trading name:

Specific tasks shall include preparation and filing of all necessary documents, notification to vendors and financial institutions as directed by Company, preparation of a checklist of required updates to licenses and contracts, and reasonable follow-up until the trading name change is reflected in public records.

Payment Terms

Company shall pay Agent the fees described below for services rendered under this Agreement.

All fees are exclusive of reasonable out-of-pocket expenses incurred by Agent in connection with filings, searches, courier services, or statutory fees, which shall be reimbursed by Company upon submission of receipts or reasonable documentation.

Term and Termination

This Agreement commences on the Start Date of and shall continue until the earlier of completion of the services or the End Date of unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon days' written notice to the other party. Termination for material breach may be immediate if the breaching party fails to cure within a commercially reasonable period, not to exceed 15 days after written notice.

Representations and Warranties

Company represents and warrants that it is the lawful owner of the business and has full authority to adopt the proposed trading name, that adoption of the new trading name will not infringe the rights of any third party, and that all information provided to Agent is complete and accurate. Agent represents that it will perform services in a professional manner consistent with industry standards.

Confidentiality

Each party shall treat as confidential all non-public information received from the other party in connection with this Agreement and shall not disclose such information to third parties except (i) as required by law or regulation, (ii) to its professional advisors on a need-to-know basis, or (iii) with the prior written consent of the disclosing party. Confidentiality obligations shall survive termination for a period of years.

Notices and Notification Obligations

Company shall promptly notify customers, suppliers, banks, and governmental authorities as required to effect the name change and shall provide Agent with reasonable assistance and authorizations to act on Company's behalf where expressly agreed in writing. Company acknowledges that some changes require third-party approval and that Agent does not guarantee approval of third parties.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflicts of law principles.

Indemnification

Company shall indemnify, defend and hold harmless Agent and its personnel from and against any liabilities, losses, claims, damages, and expenses (including reasonable attorneys' fees) arising out of Company's false representations, infringement claims related to the new trading name, or Company's failure to comply with applicable law in effecting the trading name change, except to the extent caused by Agent's gross negligence or willful misconduct.

Entire Agreement

This Agreement, together with any exhibits or written authorizations executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, proposals and communications, oral or written. No amendment shall be effective unless in writing and signed by both parties.
