BUSINESS TRAILER AGREEMENT

Recitals

WHEREAS, Owner represents and warrants that Owner is the lawful owner of the trailer described below and has the full right and authority to lease the same; and

WHEREAS, Lessee desires to lease the trailer from Owner for use in Lessee's business operations and Owner is willing to lease the trailer to Lessee pursuant to the terms and conditions set forth in this Agreement.

WHEREAS, the parties intend by this Agreement to set forth their respective rights and obligations with respect to the lease, use, maintenance, and return of the trailer.

Trailer Identification and Condition

Scope of Use

Lessee shall use the trailer solely for lawful business purposes expressly permitted by this Agreement. Lessee shall not use the trailer for the transport of hazardous materials, illegal goods, or passengers for hire unless expressly authorized in writing by Owner.

Payment Terms

Lessee agrees to pay Owner the amounts set forth below in consideration for use of the trailer. All payments are due in accordance with the schedule below and subject to the late payment provisions in this section.

Term and Termination

Either party may terminate this Agreement for convenience upon written notice to the other party given no fewer than days prior to the desired termination date. Owner may terminate immediately upon Lessee's default as provided herein.

Insurance, Maintenance, and Repairs

Lessee shall, at Lessee's expense, maintain insurance naming Owner as additional insured and loss payee for the trailer with limits adequate for the trailer's use, including liability coverage and physical damage coverage. Lessee shall provide proof of insurance to Owner prior to taking possession and upon renewal.

Routine maintenance shall be performed by the party marked below. Major repairs arising from normal wear shall be the responsibility of Owner unless caused by Lessee's misuse or negligence.

Liability, Indemnification, and Default

Lessee assumes all risk of loss, theft, or damage to the trailer during the term. Lessee shall indemnify, defend, and hold Owner harmless from any claims, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of Lessee's use, storage, or operation of the trailer, except to the extent caused by Owner's gross negligence or willful misconduct.

In the event of default, including failure to pay amounts when due or unauthorized use of the trailer, Owner may recover possession of the trailer, terminate this Agreement, and pursue all available legal and equitable remedies, including recovery of unpaid rent, repair costs, storage, towing, and legal fees.

Confidentiality

Each party agrees to keep confidential and not disclose to third parties any nonpublic business information reasonably designated as confidential by the disclosing party and obtained in connection with this Agreement, except as required by law. Confidential information does not include information that is or becomes publicly known through no fault of the receiving party, was known prior to disclosure, or is lawfully received from a third party without restriction.

Return of Trailer

Upon expiration or earlier termination, Lessee shall return the trailer to Owner in the same condition as delivered, reasonable wear and tear excepted. Lessee shall be responsible for the cost to repair damage beyond normal wear and tear and for any cleaning required to restore the trailer to its condition at delivery.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state selected below, without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located within that state for resolution of disputes arising under this Agreement.

Entire Agreement; Amendments

This Agreement, together with any schedules or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements. No amendment or waiver shall be effective unless in writing and signed by both parties.

Additional Provisions

Notices under this Agreement shall be in writing and delivered to the addresses set forth above by hand, certified mail, or other nationally recognized courier service and shall be effective upon receipt. Lessee shall not assign or subcontract this Agreement or Lessee's rights hereunder without Owner's prior written consent.
