What the Business Transaction ATBS Is and when it’s used

The Business Transaction ATBS is a standardized agreement template used to document the material terms of a commercial transaction between parties, including the description of goods or services, consideration, closing conditions, and allocation of responsibilities. It is intended for business-to-business and business-to-vendor transfers where a compact, legally oriented record is required to govern performance, payment, and dispute resolution. The form is adaptable for asset sales, supply agreements, service engagements, and similar commercial exchanges and is commonly used alongside supporting schedules, exhibits, and payment instructions.

Why a clear ATBS matters for commercial deals

A concise Business Transaction ATBS clarifies party obligations, reduces negotiation friction, and creates an auditable record for compliance and tax purposes; it also supports enforceability under ESIGN and UETA when executed electronically according to legal requirements.

Why a clear ATBS matters for commercial deals

Who typically prepares and signs a Business Transaction ATBS

Common preparers and signers range from legal teams and contract managers to financial officers and authorized sales representatives.

  • In-house counsel or outside counsel review and finalize contract language before execution, ensuring legal risks are addressed and compliance clauses are present.
  • Finance or accounting staff confirm consideration, payment terms, and invoicing instructions to prevent tax and reporting errors.
  • Authorized officers or delegated signatories execute the agreement per corporate governance rules or board resolutions to ensure valid authority.

Assign clear roles for drafting, review, and signature authority to shorten cycle time and reduce rework after signing.

Who can sign on behalf of an organization

Chief Executive Officer

The CEO typically has plenary authority to bind the company for standard commercial transactions; confirm internal bylaws or board resolutions for large-value or atypical deals before execution.

Authorized Signatory

A delegated officer or manager with written signing authority may sign transactions within specified limits; maintain a current signature authorization list to avoid disputes over authority.

Essential components to include in a professional ATBS

A complete Business Transaction ATBS bundles commercial essentials—parties, scope, payment, timing, representations, closing steps, and remedies—so the agreement is operative and enforceable without excessive attachments.

Parties

Full legal names and entity types for each party, including state of incorporation or formation and a designated contact for notices.

Scope

Closing Conditions

List of conditions precedent to closing such as approvals, consents, deliverables, and required certifications from each party.

Representations

Material representations and warranties from each party, together with survival periods and disclaimers of consequential damages where lawful.
