This Business Transaction File (the "Agreement") is entered into effective as of between having its principal address at (hereafter "Party A"), and with principal address at (hereafter "Party B").

Whereas

WHEREAS, Party A is engaged in the business of providing certain goods and/or services described below; and

WHEREAS, Party B desires to retain Party A to perform such services and/or convey such goods on the terms and conditions set forth herein; and

WHEREAS, the parties intend for this Agreement to document the material terms of the transaction and to serve as a repository for related documents and deliverables.

Transaction Reference

Scope of Work

Party A shall perform the services and deliverables described in this Agreement and any schedules attached hereto. The scope must include complete specifications, milestones, and acceptance criteria as set forth below.

Payment Terms

In consideration for the performance of the Scope of Work, Party B shall pay Party A the fees and expenses specified below in accordance with the schedules and conditions set forth.

Any amount not paid when due shall accrue interest at the lesser of (i) the rate of % per month, or (ii) the maximum rate permitted by applicable law. In addition, Party A may suspend performance after providing days' written notice for nonpayment.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement without cause upon providing written notice to the other party no fewer than days prior to the effective date of termination. Termination shall not relieve either party of obligations accrued prior to termination.

Confidentiality

Each party (the "Receiving Party") shall protect the confidentiality of all nonpublic, proprietary, or commercially sensitive information of the other party (the "Disclosing Party") disclosed in connection with this Agreement ("Confidential Information"). Confidential Information shall not include information that: (a) is or becomes generally available to the public through no wrongful act of the Receiving Party; (b) was already known to the Receiving Party prior to disclosure as demonstrated by written records; or (c) is lawfully obtained from a third party not under an obligation of confidentiality. The Receiving Party shall not use Confidential Information for any purpose other than performing its obligations under this Agreement and shall restrict disclosure to employees, agents, and advisors with a need-to-know who are bound to confidentiality obligations at least as protective as those herein.

The undersigned acknowledge and agree to be bound by the confidentiality provisions of this Agreement.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties agree that any dispute arising out of or relating to this Agreement shall be resolved by the dispute resolution procedure set forth herein.

Representations, Warranties and Covenants

Each party represents and warrants that it has full power and authority to enter into this Agreement, that the execution and performance of its obligations will not violate any agreement or legal obligation to which it is subject, and that it will perform in a professional and workmanlike manner consistent with industry standards.

Entire Agreement; Amendments

This Agreement, together with all attachments, exhibits, and schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral and written negotiations and agreements. No amendment or modification shall be effective unless in writing signed by authorized representatives of both parties.
