This Business Transaction Form (the "Agreement") is entered into effective as of by and between:

Recitals

WHEREAS, Party A is engaged in the sale or licensing of the goods, services, or other assets described as ;

Payment Terms

Late Payment: If any undisputed amount is not received by Party A within days after the due date, a late fee of % per month will accrue on the overdue balance, or the maximum rate permitted by applicable law, whichever is less. Term and Termination

Either party may terminate this Agreement for cause upon written notice if the other party materially breaches any obligation and fails to cure such breach within days after receipt of written notice. Either party may terminate for convenience by providing days' prior written notice to the other party.

Confidentiality

"Confidential Information" means non-public information disclosed by one party ("Disclosing Party") to the other ("Receiving Party"), whether oral, written, electronic, or visual, that is designated as confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure. Confidential Information includes, without limitation, trade secrets, business plans, financial information, customer lists, pricing, and technical data.

The Receiving Party shall (i) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information (but not less than reasonable care); (ii) not use Confidential Information except to perform its obligations under this Agreement; and (iii) not disclose Confidential Information to any third party except to those employees, agents, or contractors who have a need to know and are bound by confidentiality obligations at least as protective as those set forth herein. The obligations of confidentiality shall survive termination of this Agreement for a period of years, except for trade secrets which shall remain protected for as long as such information qualifies as a trade secret under applicable law.

Notwithstanding the foregoing, Confidential Information does not include information that (a) is or becomes generally available to the public other than as a result of a breach of this Agreement; (b) was known to the Receiving Party prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information. The Receiving Party may disclose Confidential Information to the extent compelled by law, provided it gives prompt written notice and cooperates with the Disclosing Party's efforts to seek confidential treatment or a protective order.

Representations, Warranties, and Remedies

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations. Party A represents that, to its knowledge, the goods or services delivered to Party B will not infringe third-party intellectual property rights. Except as expressly set forth in this Agreement, all WARRANTIES ARE DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW.

The remedies provided in this Agreement are cumulative and in addition to any other remedies available at law or in equity, including injunctive relief for breaches of confidentiality or intellectual property rights.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located within that jurisdiction for any action arising under this Agreement.

Entire Agreement; Miscellaneous

This Agreement, together with any attachments or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment or modification shall be effective unless in writing and signed by both parties. Failure to enforce any right shall not constitute a waiver of that right.
