Parties

Recitals

WHEREAS, Party A is in the business of facilitating, managing and executing rolling transactional arrangements involving the transfer, financing and operational coordination of specified assets and services under the commercial program known as Rollingtrans; and

WHEREAS, Party B desires to engage Party A to perform transactional services as described in this Agreement, and Party A agrees to provide such services on the terms and conditions set forth below; and

WHEREAS, the parties intend that transactions executed under this Agreement shall be governed by the terms herein, including procedures for rolling transfers, payment scheduling and confidentiality protections.

Scope of Work

Party A shall provide services necessary to carry out rolling transactions including, without limitation, initiation, documentation, settlement coordination, reconciliation, and reporting. Detailed operational responsibilities, deliverables and acceptance criteria are set forth below and may be amended by written agreement of the parties.

Payment Terms

In consideration for services performed under this Agreement, Party B shall pay Party A the fees and expenses described below. All sums are payable in lawful currency of the jurisdiction specified under Governing Law.

All payments subject to validation and reconciliation. Disputed amounts shall be raised in writing within days of invoice, during which undisputed amounts remain payable. Party A may suspend services for amounts overdue after notice of days following written demand.

Term and Termination

This Agreement shall commence on and, unless earlier terminated as provided below, shall continue in effect until (the "Term").

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate for material breach that is not cured within days after receipt of written notice specifying the breach. Termination shall not relieve either party of obligations accrued prior to termination.

Confidentiality

Each party (the "Receiving Party") shall protect the other party's (the "Disclosing Party") Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. "Confidential Information" includes non-public business, technical, financial and transactional information disclosed in connection with Rollingtrans activities, whether written, oral, electronic or otherwise.

Confidential Information does not include information that: (a) was publicly known at the time of disclosure; (b) becomes publicly known through no fault of the Receiving Party; (c) was rightfully in the Receiving Party's possession prior to disclosure; or (d) is lawfully obtained by the Receiving Party from a third party without restriction. The Receiving Party may disclose Confidential Information to its employees, agents or advisors who have a need to know and who are bound to confidentiality obligations no less protective than those herein.

Remedies: The parties acknowledge that breach of confidentiality may cause irreparable harm for which monetary damages are inadequate; accordingly, the Disclosing Party is entitled to seek injunctive relief in addition to any other remedies.

Governing Law

This Agreement and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Additional Provisions

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Party A may assign to an affiliate or in connection with a sale of substantially all of its assets.

Liability and Indemnity: Each party shall indemnify and hold harmless the other from claims arising out of its gross negligence or willful misconduct in performing this Agreement. Except for liability arising from willful misconduct, breach of confidentiality or indemnity obligations, neither party shall be liable for consequential or punitive damages.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses for notices set forth above or as updated in writing by either party.

Execution

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together constitute one and the same instrument. Electronic signatures shall be binding and have the same force and effect as original signatures.
