Recitals

Either party may terminate this Agreement prior to the Termination Date upon written notice to the other party given at least days in advance. Termination shall not relieve either party of obligations accrued prior to the effective date of termination, including payment obligations and obligations that by their nature survive termination.

Confidentiality

Each party (Recipient) shall keep confidential and shall not disclose to any third party any Confidential Information disclosed by the other party (Discloser) except as required by law or as necessary to perform the obligations under this Agreement. "Confidential Information" includes non-public business, financial and technical information, pricing, customer lists, and terms of this Agreement.

The obligations of confidentiality shall survive termination of this Agreement for a period of years, except for trade secrets which shall be protected for so long as they remain trade secrets under applicable law.

Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against any and all losses, liabilities, claims, damages and expenses (including reasonable attorneys' fees) arising out of or resulting from any breach of its representations, warranties or covenants under this Agreement or from its gross negligence or willful misconduct.

Governing Law

Entire Agreement; Amendments
