Invoices shall be submitted to Client and are due within days of receipt. Late payments shall accrue interest at the lesser of % per month or the maximum permitted by law, plus reasonable collection costs.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately upon material breach if the breach is not cured within days after written notice.

Upon termination, Service Provider shall deliver to Client all calendar exports, migration logs, mapping documentation, and any work in progress necessary for continuity of services. Client shall pay for all work performed through the termination effective date.

CONFIDENTIALITY

Each party shall treat as Confidential Information all non-public information disclosed by the other party in connection with this Agreement, including calendar contents, attendee lists, meeting notes, and authentication credentials. Confidential Information shall not be used except to perform obligations under this Agreement and shall not be disclosed to third parties without prior written consent, except to authorized contractors bound by comparable confidentiality obligations.

The obligations in this section shall survive termination or expiration of this Agreement for a period of years.

DATA SECURITY AND PRIVACY

Service Provider shall implement reasonable administrative, technical, and physical safeguards to protect calendar data against unauthorized access, disclosure, alteration, or destruction. Any personal data processed in the course of performing services shall be processed in accordance with applicable law and only for the purposes described in this Agreement.

LIMITATION OF LIABILITY AND INDEMNIFICATION

Except for liability arising from willful misconduct or gross negligence, each party's aggregate liability under this Agreement shall be limited to the total fees paid by Client to Service Provider under this Agreement. Service Provider shall indemnify and hold Client harmless from third-party claims arising from Service Provider's negligent acts in performing the services.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any attachments and exhibits executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations, and understandings, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Neither party shall assign this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or successor in the event of a sale or merger provided Client receives prior notice. If any provision is held unenforceable, the remainder shall remain in full force and effect.
