Recitals

WHEREAS, Seller operates a business known as located at (the "Business");

WHEREAS, Seller desires to transfer to Buyer, and Buyer desires to acquire from Seller, certain assets, rights and obligations of the Business upon the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend for the transfer to be effective as of (the "Effective Date").

Scope of Transfer

Seller shall transfer to Buyer, and Buyer shall accept, those assets and rights of the Business specified below. The parties acknowledge that this transfer may include tangible and intangible assets, customer lists, contracts, goodwill, intellectual property, inventory, equipment, and other assets as described.

The total purchase price for the assets to be transferred pursuant to this Agreement is

All payments shall be payable in lawful currency and applied first to accrued interest and fees, then to principal. Any amounts outstanding more than ninety (90) days after the due date may be subject to acceleration and remedies available at law or in equity.

Assumed Liabilities

Except as expressly set forth in this Agreement, Buyer shall not assume and shall not be liable for any liabilities or obligations of Seller arising prior to the Closing Date.

Representations and Warranties

Seller's representations: Seller represents and warrants to Buyer that Seller is the lawful owner of the assets described herein, has full authority to transfer such assets, the assets are free and clear of liens except as disclosed in writing, and Seller knows of no material claims, actions or proceedings affecting the Business other than those disclosed.

Buyer's representations: Buyer represents and warrants to Seller that Buyer has the power and authority to enter into this Agreement and perform its obligations, and that execution and delivery of this Agreement has been duly authorized.

Closing

The closing of the transfer (the "Closing") shall occur on or such other date as the parties may agree in writing. At the Closing, Seller shall deliver executed bills of sale, assignments, and instruments of transfer reasonably necessary to vest title in Buyer, and Buyer shall pay the Purchase Price in accordance with this Agreement.

Transition Assistance

Confidentiality

Each party shall, both during the term of this Agreement and for a period of three (3) years following the Effective Date, keep confidential and not disclose to any third party any confidential information of the other party obtained in connection with the negotiation, execution, or performance of this Agreement, except as required by law or to the extent necessary for the performance of obligations hereunder. Confidential information includes, but is not limited to, customer lists, pricing, trade secrets, and financial information. Reasonable disclosures to advisors bound by confidentiality obligations are permitted.

Term and Termination

This Agreement shall commence on the Effective Date and shall continue until the obligations of the parties under this Agreement are fully performed, unless earlier terminated as provided herein. Either party may terminate this Agreement upon written notice to the other party if the other party materially breaches this Agreement and fails to cure such breach within

days after receipt of written notice of the breach.

Upon termination, all rights and obligations under this Agreement shall cease except for those obligations that by their nature survive termination, including payment obligations, confidentiality, indemnification, and any accrued rights at law or in equity.

Indemnification

Seller shall indemnify, defend and hold harmless Buyer and its affiliates from and against any and all losses, claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of (a) Seller's breach of any representation, warranty or covenant made in this Agreement, and (b) liabilities not expressly assumed by Buyer. Buyer shall indemnify Seller for any losses arising from Buyer's breach of this Agreement or Buyer's post-Closing operation of the acquired assets.

Taxes

Unless otherwise agreed in writing, any taxes, transfer fees, or similar charges attributable to the transfer of assets shall be allocated as follows:

All notices, consents, approvals and other communications required or permitted under this Agreement shall be in writing and delivered to the parties at the addresses set forth below (or to such other address as either party may designate by notice to the other):

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes arising out of or related to this Agreement.

Entire Agreement; Amendments

This Agreement, together with all schedules and exhibits attached hereto and any documents delivered at Closing, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. This Agreement may not be amended or modified except by an instrument in writing signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Buyer may assign its rights to an affiliate or purchaser of substantially all of its assets.
