BUSINESS TRANSFER AGREEMENT

RECITALS

WHEREAS, Transferor is the owner of the business operating under the name (the "Business"), including the assets, goodwill and certain contracts described in Schedule A; and

WHEREAS, Transferee desires to acquire from Transferor, and Transferor desires to sell, transfer and assign to Transferee, substantially all of the assets of the Business on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that the transfer effected by this Agreement be effective as of (the "Effective Date").

SCOPE OF TRANSFER

Transferor agrees to transfer, convey and assign to Transferee, and Transferee agrees to accept, the assets identified in Schedule A, including but not limited to inventory, equipment, customer lists, intellectual property listed in Schedule A, leases assignable by agreement, and all goodwill associated with the Business, free of any encumbrances except as expressly set forth in this Agreement.

If any installment or scheduled payment is not received by the due date, interest shall accrue on the unpaid balance at the rate of % per month (or the maximum permitted by law, whichever is less), plus any costs of collection including reasonable attorneys' fees. The closing of the transfer (the "Closing") shall occur on at , unless another date, time or place is agreed to in writing by the parties.

TERM AND TERMINATION

This Agreement shall be effective as of the Effective Date and, except as otherwise provided herein, shall terminate upon full performance of all obligations by the parties.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within days after written notice specifying the nature of the breach. Termination shall not relieve either party of obligations accruing prior to termination.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means all nonpublic information disclosed by one party to the other relating to the Business, its finances, customers, suppliers, trade secrets and pricing. Each party shall hold Confidential Information in strict confidence and shall not disclose or use such information except as required to perform obligations under this Agreement or as required by law.

Confidentiality exceptions include information that: (a) is or becomes publicly known through no breach of this Agreement; (b) is rightfully received from a third party without restriction; or (c) is independently developed without use of the other's Confidential Information. Upon termination or request, each party shall return or destroy the other's Confidential Information and certify such return or destruction upon written request.

REPRESENTATIONS, WARRANTIES AND COVENANTS

Transferor represents and warrants that: (a) it is the lawful owner of the assets being transferred and has full authority to transfer them; (b) to Transferor's knowledge, the assets are free from liens and encumbrances except as disclosed in Schedule A; and (c) all required consents, permits and approvals necessary to transfer the assigned contracts and leases have been obtained or are listed in Schedule A.

Transferee represents that it has the corporate or other power and authority to enter into and perform its obligations under this Agreement. Each party covenants to promptly execute and deliver such further instruments and to take such actions as may be reasonably necessary to effectuate the transfer contemplated by this Agreement.

LIABILITIES; TAXES

Except as expressly assumed in writing by Transferee, Transferor shall retain and be responsible for all liabilities and obligations of the Business arising prior to the Effective Date. Each party shall be responsible for its own taxes arising from the transaction, and the parties shall cooperate in preparing such tax filings and allocation schedules as required by law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. Venue for any action arising under this Agreement shall lie exclusively in the state or federal courts located in that state.

ENTIRE AGREEMENT

This Agreement, together with all schedules and exhibits hereto and any written amendments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No amendment or modification shall be binding unless in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign its rights and obligations to an affiliate or successor in interest provided that the assignee assumes the assigning party's obligations hereunder.
