Confidentiality

Each party shall maintain in strict confidence all non-public information disclosed by the other party in connection with the negotiation and performance of this transfer, including financial data, customer and supplier lists, pricing, trade secrets and proprietary processes ("Confidential Information"). Confidential Information shall not include information that is (a) in the public domain through no fault of the receiving party, (b) rightfully received from a third party without an obligation of confidentiality, or (c) independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party may disclose Confidential Information only to its officers, employees, agents and advisors who have a need to know and are bound by confidentiality obligations at least as protective as those herein. These confidentiality obligations shall survive termination or expiration of this Agreement for a period of three (3) years, except for trade secrets which shall be protected for so long as they remain trade secrets under applicable law.

Representations and Warranties (Limited)

Transferor represents and warrants that it has good and marketable title to the Transferred Assets free and clear of liens, that it has the authority to transfer such assets, and that to the best of its knowledge there are no pending actions that would prevent the transfer. Transferee represents that it has the corporate or other authority to enter into this transfer and to consummate the transactions contemplated herein. These representations are material and survive Closing for a period of one (1) year, except for title obligations which survive as required to effectuate cures.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. All disputes arising out of or relating to this Agreement shall be resolved by binding arbitration if the parties mutually agree; otherwise, exclusive jurisdiction and venue shall lie in the courts of the chosen state.

Assignment and Miscellaneous

Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, except that Transferee may assign to an affiliate or to a purchaser of substantially all of its assets. Any attempted assignment without consent shall be void. No third party shall have rights under this Agreement unless expressly stated. The parties agree to execute such further documents and take such further actions as are reasonably necessary to effectuate the transfer of the Transferred Assets.

Entire Agreement

This Business Transfer File, including any schedules and attachments incorporated herein, constitutes the entire agreement and understanding of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. No amendment or modification shall be effective unless in writing and signed by both parties.
