BUSINESS TRANSFER FORM

This Business Transfer Agreement (the "Agreement") is entered into by and between Transferor: and Transferee: , effective as of Effective Date: .

WHEREAS

WHEREAS, Transferor conducts business under the name and owns certain assets, goodwill, contracts and other property used in such business; and

WHEREAS, Transferee desires to acquire, and Transferor desires to transfer, the business assets and related rights as set forth herein, upon the terms and conditions contained in this Agreement; and

WHEREAS, the parties intend that the transfer effected by this Agreement shall include certain specified assets and liabilities and be consummated on a Closing Date to be agreed by the parties.

SCOPE OF TRANSFER

The Transferor agrees to sell, assign and transfer, and the Transferee agrees to purchase and assume, the assets and rights described below, subject to the terms and conditions of this Agreement.

REPRESENTATIONS AND WARRANTIES

Transferor represents and warrants that, as of the Effective Date and as of the Closing Date: (a) Transferor has good and marketable title to the assets to be transferred, free and clear of liens except as disclosed to Transferee; (b) there are no pending or threatened legal proceedings material to the business except as disclosed in writing; and (c) financial statements delivered to Transferee fairly present the financial condition of the business. Transferor shall complete the schedule of exceptions and deliver same prior to Closing.

PURCHASE PRICE AND PAYMENT TERMS

The total purchase price for the assets and rights to be transferred shall be:

TERM AND TERMINATION

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice specifying the breach.

CONFIDENTIALITY

Each party shall keep confidential all non-public information and materials relating to the business and this Agreement (the "Confidential Information"), and shall not disclose such information to third parties except to its advisors or as required by law. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party.

Parties may disclose Confidential Information to their professional advisors provided that such advisors are bound by confidentiality obligations no less protective than those set forth herein. Prior written consent is required for disclosures to third parties not so bound.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including schedules and exhibits executed by the parties and any written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether oral or written. No amendment or waiver shall be effective unless in writing and signed by both parties.

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Transferee may assign to an affiliate provided Transferee remains liable for performance. Notices shall be delivered to the addresses set forth above and shall be effective upon receipt.
