INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any losses, damages, liabilities or expenses (including reasonable attorneys' fees) arising from any breach of its representations, warranties or covenants contained in this Statement, except to the extent such losses are caused by the indemnified party's own acts or omissions.

GOVERNING LAW
