Traveler is responsible for maintaining appropriate personal travel insurance and for timely compliance with health and safety requirements. Traveler shall indemnify and hold Company harmless from losses arising from Traveler's gross negligence, willful misconduct, or breach of this authorization.

GOVERNING LAW

This Business Travel Letter and Authorization shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles.

ENTIRE AGREEMENT
