Recitals

WHEREAS, the Company requires the Traveler to perform business services at locations and dates set forth below, and the Company agrees to authorize reasonable travel and related expenses necessary for the performance of those services; and

WHEREAS, the Traveler represents that all travel will be conducted in accordance with Company travel policies and that expense reimbursement will be requested in compliance with the terms of this Business Travel T&E Document; and

WHEREAS, the parties desire to set forth the scope, payment terms, confidentiality obligations, and other material terms governing travel and expense reimbursement.

Payment Terms

Reimbursement Amount: The Company will reimburse documented, authorized expenses incurred by the Traveler that conform to Company policy. Estimated reimbursable amount:

Payment Schedule: Approved expense reports will be submitted to Accounts Payable and paid within days after approval, provided all required documentation and receipts are submitted.

Late Submission Fee: If required supporting documentation is not submitted within the specified submission period, the Company reserves the right to reduce reimbursement by a late-submission administrative fee of or to deny reimbursement in accordance with Company policy.

Notice of Termination: Either party may terminate this Travel & Expense arrangement for convenience by delivering written notice to the other party at least days prior to the desired termination date. Termination does not relieve the Company of its obligation to reimburse authorized expenses incurred prior to termination, subject to this document's terms.

Confidentiality

The Traveler will hold in confidence all non-public Company information obtained in the course of the travel engagement, including but not limited to client lists, pricing, proposals, and internal reports. Confidential information shall not be disclosed to third parties without prior written authorization from the Company. This obligation survives termination of the travel engagement for a period of two (2) years.

Governing Law; Entire Agreement

This Travel & Expense Document shall be governed by and construed in accordance with the laws of the state specified by the Company, without regard to conflict of laws principles. The parties agree that this Document, together with any referenced Company travel policy, constitutes the entire agreement with respect to authorized travel and related reimbursements, superseding all prior oral or written communications on the same subject.
