Business Trial Panel Agreement

This Business Trial Panel Agreement (the Agreement) is entered into as of by and between:

Recitals

WHEREAS, Client seeks the professional services of a trial panel to conduct a structured business trial proceeding, mock adjudication, or evaluation of an identified dispute or matter described below; and

WHEREAS, Panel Provider represents that it has the experience, impartiality, and resources to provide a fair and reasoned panel review, produce findings, and render either binding or advisory determinations as agreed herein; and

WHEREAS, the parties desire to set forth the terms under which the Panel Provider will assemble the panel, conduct the proceeding, and invoice Client for professional services.

Scope of Work

The Panel Provider shall perform the services described below. The Panel Provider shall determine the procedural schedule, select qualified panelists consistent with the parties' agreement, and prepare a written report of findings and any determinations.

Payment Terms

Client shall pay Panel Provider for all services performed under this Agreement in accordance with the schedule below. All amounts are exclusive of any taxes payable by Client.

Late payments shall incur interest and collection costs as set forth below.

Term and Termination

This Agreement commences on and continues until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for cause on written notice if the other party materially breaches any obligation and fails to cure within the notice period specified above. Upon termination for convenience by Client, Client shall pay Panel Provider for all services performed and reasonable costs incurred up to the effective date of termination, including any non‑cancelable expenses.

Confidentiality

For the purposes of this Agreement, "Confidential Information" means all non-public information disclosed by one party to the other that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that (a) is or becomes publicly available through no breach of this Agreement; (b) was rightfully known to the receiving party prior to disclosure; (c) is lawfully obtained from a third party without restriction; or (d) is independently developed without use of the disclosing party's Confidential Information.

The receiving party shall (i) hold Confidential Information in confidence and take reasonable steps to protect it from unauthorized disclosure, (ii) use Confidential Information solely to perform obligations under this Agreement, and (iii) restrict disclosure to employees, counsel, accountants, or permitted consultants who have a need to know and who are bound by confidentiality obligations no less protective than those set forth here. If disclosure is compelled by law or a court order, the receiving party shall provide prompt written notice to the disclosing party to permit a protective order or other remedy.

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. Venue for any dispute shall be in the courts of that jurisdiction, unless the parties agree otherwise in writing.

This Agreement, together with any attached schedules or written exhibits, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements, understandings, and representations. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other, except that Panel Provider may assign to an affiliated entity for administrative reasons provided Client receives written notice. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
