Parties and Effective Date

Effective Date: — This Business TRP Statement (the "Statement") is entered into between the Client and the TRP Provider identified above to set forth responsibilities, payment arrangements, confidentiality obligations, and the term of participation in the TRP services described below.

WHEREAS Recitals

WHEREAS, the Client seeks to participate in a Transaction Remittance Program ("TRP") for certain business transactions and requires a formal statement of the parties' respective duties and payment terms; and

WHEREAS, the TRP Provider has represented that it will perform reporting, remittance, reconciliation and administrative functions set forth in this Statement in accordance with applicable law and industry standards; and

WHEREAS, the parties desire to document the scope, compensation and confidentiality terms governing the TRP services to be provided by the TRP Provider to the Client.

Scope of Work

The TRP Provider shall perform the services described above including, but not limited to, transaction capture, validation, periodic reconciliation, remittance of collected funds as agreed, reporting to the Client, and retention of supporting documentation for a period consistent with applicable retention policies. The TRP Provider shall maintain records sufficient to demonstrate compliance and shall provide reasonable access to such records upon prior written request.

Payment Terms

Unless otherwise agreed in writing, undisputed amounts not paid when due shall incur the late fee stated above, compounded monthly to the maximum extent permitted by law. The Client shall also be responsible for reasonable collection costs, including attorneys' fees, if payment is placed with an attorney for collection.

Either party may terminate this Statement upon written notice to the other party given not less than the notice period specified above. Termination shall not relieve either party of obligations accrued prior to the effective date of termination, including payment of fees for services rendered or costs incurred.

Confidentiality

Each party acknowledges that in the course of performance it may receive or have access to Confidential Information of the other party. "Confidential Information" means non-public business, financial, operational, transactional, or technical information disclosed in any form. The receiving party shall: (a) hold Confidential Information in strict confidence; (b) use it solely for performance under this Statement; and (c) not disclose it to any third party except as expressly permitted herein.

Exceptions: Confidential Information does not include information that is (i) already known to the receiving party without restriction, (ii) publicly available through no fault of the receiving party, or (iii) rightfully received from a third party without breach of any obligation of confidentiality. Disclosure required by law or regulatory process shall be made only after reasonable prior notice to the disclosing party where legally permitted, and the receiving party shall cooperate in seeking confidential treatment or a protective order.

Upon termination or request, the receiving party shall promptly return or securely destroy Confidential Information and provide a written certification of such return or destruction upon request.

Indemnification and Limitation

The TRP Provider agrees to indemnify and hold the Client harmless from third-party claims arising from the TRP Provider's gross negligence, willful misconduct, or material breach of this Statement. Except for liability arising from gross negligence, willful misconduct, or breaches of confidentiality, neither party shall be liable to the other for consequential, incidental, or punitive damages.

Governing Law and Dispute Resolution

This Statement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws rules. The parties agree to seek resolution of disputes in good faith through negotiation prior to initiating litigation or arbitration.

Entire Agreement; Amendments
