WHEREAS, Client requires technical review, testing and related advisory services described herein (collectively, "TRT Services") in connection with the Client's project identified as ;

WHEREAS, Provider represents that it possesses the necessary skill, experience and resources to perform the TRT Services in a professional and workmanlike manner; and

WHEREAS, the parties desire to set forth their respective rights, responsibilities and payment terms with respect to the TRT Services.

Scope of Work

Provider shall perform TRT Services consisting of the tasks, deliverables and milestones described below. Provider shall provide qualified personnel, necessary equipment and reporting as specified.

Payment Terms

In consideration for satisfactory performance of the TRT Services, Client shall pay Provider the fees set forth below in accordance with this Payment Terms section.

Late payments shall incur a late fee equal to percent per month on the overdue balance, compounded monthly, or the maximum rate permitted by law, whichever is lower.

Term and Termination

This Agreement commences on and, unless earlier terminated in accordance with this Agreement, shall continue until .

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Confidentiality

Each party (the "Receiving Party") shall keep confidential all non-public, proprietary or business information disclosed by the other party (the "Disclosing Party"), whether disclosed orally, in writing or by inspection of tangible objects, and shall not use such information except to perform its obligations under this Agreement. Confidential information does not include information that: (a) is or becomes generally known to the public without breach of any obligation owed to the Disclosing Party; (b) was known to the Receiving Party prior to disclosure; (c) is received from a third party without breach of any obligation of confidentiality; or (d) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information.

The obligations in this section shall survive termination of this Agreement for years following the date of termination, except that trade secrets shall remain confidential for so long as they qualify as trade secrets under applicable law.

Representations; Independent Contractor

Each party represents that it has the full right, power and authority to enter into and perform this Agreement. Provider is an independent contractor and nothing in this Agreement shall be construed to create an employment, partnership or agency relationship between the parties. Provider shall be solely responsible for all taxes, withholdings and other statutory obligations applicable to Provider's personnel.

Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for disputes arising under this Agreement.

Entire Agreement

This Agreement, including any exhibits or statements of work incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment to this Agreement must be in writing and signed by both parties.

Miscellaneous Provisions

Assignment. Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition or sale of substantially all of its assets.

Severability. If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.
