What the Business Trust Value Agreement Is and When It Applies

A Business Trust Value Agreement documents the agreed or appraised monetary value of assets transferred into, owned by, or associated with a business trust. It serves as a record of valuation for the trust grantor, trustee, beneficiaries, and any third parties such as lenders, purchasers, or tax authorities. The agreement typically describes the valuation methodology, effective valuation date, asset schedule, and signatures of authorized parties. Accurate values and clear methodology reduce later disputes and support tax, estate, or transaction reporting requirements when the trust interests are sold, transferred, or administered.

Why a Clear Value Agreement Matters

A written valuation agreement provides evidence of agreed value, clarifies rights and obligations, and reduces litigation risk. It supports tax reporting, loan underwriting, asset transfers, and fiduciary accounting, and documents the date and method used to determine value.

Why a Clear Value Agreement Matters

Who Typically Prepares and Signs This Agreement

Different parties use the agreement for governance, tax compliance, transaction support, and dispute avoidance; choose signatories accordingly.

  • Trustees and trust administrators preparing fiduciary accountings or asset transfers
  • Grantors or settlors documenting contributions or retained interests
  • Buyers, lenders, and accountants requiring documented valuations for closing or reporting

Core Elements of a Professional Business Trust Value Agreement

A complete agreement clearly establishes parties, valuation date, methodology, asset schedule, representations, and signature blocks to create an enforceable record.

Parties

Identify the trust name, grantor/settlor, trustee(s), and any named beneficiaries or transferees with full legal names and roles.

Methodology

Describe the valuation approach (market comps, discounted cash flow, appraisal), and cite any assumptions, multiples, or appraisal provider used.

Asset Schedule

Attach a detailed schedule of assets and ownership percentages, including exhibits for tangible assets, intellectual property, and goodwill where applicable.

Representations

Include statements about completeness of financials, absence of undisclosed liabilities, and authority to execute, plus remedies for misstatement.
