What a Business TSA Agreement Is and When It’s Used

A Business TSA Agreement (commonly called a Transitional Services Agreement) is a contract used when one company sells, spins off, or transfers assets and the buyer needs temporary services from the seller. The TSA defines which services are provided, scope, duration, performance standards, fees, and exit conditions so operations continue without interruption while the buyer establishes its own capabilities. Typical services include IT, payroll, HR, finance, procurement, facilities, and customer support. A clear TSA reduces operational risk during ownership transitions and allocates responsibility and costs between parties.

Why a Clear TSA Agreement Matters

A well-drafted Business TSA Agreement limits downtime, assigns responsibility for interim tasks, sets measurable service levels, and clarifies transition timelines and costs so the buyer can operate immediately and the seller can exit with controlled liabilities.

Why a Clear TSA Agreement Matters

Who Typically Prepares and Signs a Business TSA Agreement

Typical participants in a TSA negotiation include corporate development, legal, IT, HR, and finance teams from both buyer and seller; external advisors may assist with scope and pricing.

  • Buyer legal and operations teams responsible for defining required services and acceptance criteria.
  • Seller transition leads who commit resources, staff, and access during the transition period.
  • External advisors (M&A counsel, IT integrators, financial accountants) who draft SLAs and pricing schedules.

Signatories should be authorized officers or delegated signers with authority to bind their organization, and signatures should track who approved specific service schedules and cost allocations.

Step-by-step: Completing a Business TSA Agreement

Follow a concise sequence to define services, responsibilities, and exit conditions so each party understands obligations and timing.

  • 01
    1. Identify Services: List each interim service and scope precisely.
  • 02
    2. Set Term: Specify start, end, and extension rules.
  • 03
    3. Define SLAs: State measurable performance metrics and remedies.
  • 04
    4. Agree Fees: Choose fixed, cost-plus, or pass-through pricing.

Configuring an Online TSA Workflow

Set up roles, fields, and authentication before sending to ensure accurate routing and auditability.

Field Configuration
Signer Roles Buyer signatory | Seller signatory
Authentication Email + optional SMS code
Required Fields Effective Date | Fees | Signatures
Retention Policy Export signed PDF | Store audit trail

Technical and Integration Considerations

Choose a platform that supports secure eSigning, audit trails, and integrations to your ERP or contract repository.

  • Formats Supported: PDF, DOCX
  • Integrations: NetSuite | Salesforce | Google Workspace
  • Authentication: Email, SMS, KBA

Ensure the solution provides retention of audit trails, role-based access, and export options for long-term storage and compliance.

Typical eSigning Flow for a TSA Agreement

A consistent signing workflow minimizes delays and preserves evidence of consent and execution.

  • Upload Document: Sender uploads the agreement to the signing platform.
  • Place Fields: Add signature, date, and initial fields where required.
  • Send to Signers: Add signer emails and set signing order if sequential.
  • Capture Audit Trail: System logs timestamps, IP, and authentication steps.

Key Clauses Every Business TSA Agreement Should Include

A complete TSA balances operational needs with clear limits on duration, cost, liability, and data handling; include exhibits for technical detail.

Scope of Services

Precise task list, excluded items, and attachments describing roles, responsibilities, and handoff points for operational continuity.

Term & Termination

Start and end dates, renewal or extension rules, early termination triggers, and notice periods for material breach.

Fees and Cost Recovery

Billing method—fixed, cost-plus, or pass-through—expense caps, invoicing cadence, and dispute resolution for charges.

Service Levels

Performance metrics, measurement methods, reporting cadence, remedies, service credits, and escalation paths.

Liability & Indemnity

Limits of liability, indemnification scope, consequential damages exclusions, and insurance requirements for transition activities.

Data Security

Access controls, data segregation, breach notification timelines, and compliance obligations for regulated data.

Security, Compliance and Technical Details to Record

Encryption: TLS 1.2/1.3; AES-256 at rest
Audit Trail: Timestamped signer actions
Authentication: Email, SMS, or MFA
HIPAA: BAA required for PHI
21 CFR Part 11: Controls for FDA records
Certifications: SOC 2 Type II, ISO 27001

Risks and Consequences of an Incomplete or Incorrect TSA

Operational Disruption: Service gaps or outages
Cost Overruns: Uncontrolled pass-through expenses
Regulatory Exposure: Noncompliance for regulated data
Contractual Disputes: Payment and performance litigation
Audit Findings: Missing records or evidence
Reputational Harm: Customer or partner loss

Common Mistakes to Avoid When Preparing a TSA

  • Vague service descriptions that force on-the-fly interpretation and create billing disputes between buyer and seller.
  • Failing to define SLAs and measurement methods, which prevents objective assessment of performance and remedies.
  • Not aligning data access and security responsibilities with actual system owners, increasing breach and compliance risk.
  • Overlooking termination and exit mechanics including knowledge transfer, asset return, and transition staffing obligations.

Practical examples of transitional arrangements in Business TSAs

Illustrative scenarios show how TSAs allocate duties and reduce friction during operational handoffs.

Optica Ventures — COO

When divesting a business unit the buyer required payroll and IT services for 90 days

  • The seller provided day-to-day HR operations
  • The agreement included SLAs, monthly reconciliation procedures, and a phased cutover plan to minimize employee disruption.

Martin Properties — Founder

A real estate asset sale needed property management continuity for 60 days

  • The seller continued tenant relations and maintenance
  • The TSA defined invoicing, reporting cadence, and a final inspection handoff to ensure tenant satisfaction.

Practical tips for accurate and efficient TSA completion

Use a short list of practices to reduce negotiation time and operational risk when preparing a TSA.

Use Exhibits
Attach detailed service schedules and RACI matrices to avoid ambiguity in operational tasks and responsibility.
Limit Duration
Set clear sunset clauses and objective acceptance criteria to force timely transition and reduce indefinite obligations.
Auditability
Require reporting, logging, and access records to support performance verification and dispute resolution.
Targeted Legal Review
Have counsel review high-risk clauses such as indemnity, data handling, and regulatory obligations only to control legal spend.
