Business TTA Agreement

This Business Training and Technical Assistance Agreement ("Agreement") is entered into as of Effective Date: by and between Client Name: and Consultant Name: .

Recitals

WHEREAS, Client seeks training, technical assistance and capacity-building services ("TTA Services") related to the subject matter described below; and

WHEREAS, Consultant represents that it has the necessary qualifications, experience and personnel to provide such TTA Services in accordance with the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth the terms, scope, payment and other obligations governing the provision of TTA Services.

Scope of Work

Consultant shall provide TTA Services to Client which shall include training sessions, on-site or virtual technical assistance, written materials, deliverables and follow-up support as described in the Scope of Work below. The Scope of Work shall specify tasks, timelines, responsibilities and acceptance criteria.

Payment Terms

Client shall pay Consultant the fees set forth below for the services rendered under this Agreement. All amounts are payable in United States dollars and exclusive of taxes unless otherwise stated.

Invoices are payable within days of receipt. Late payments shall accrue interest at a rate of % per month, or the maximum lawful rate, plus reasonable collection costs.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing the other party with written notice at least days prior to the intended termination date. Either party may terminate immediately upon material breach by the other party if such breach remains uncured for thirty (30) days following written notice of breach.

Termination shall not relieve Client of the obligation to pay for services performed and reimbursable expenses incurred through the effective date of termination, and those obligations shall survive termination.

Confidentiality

"Confidential Information" means non-public information disclosed by a party that is clearly identified as confidential or that reasonably should be understood to be confidential. Each party agrees to hold Confidential Information in strict confidence, not to disclose it to third parties except as required to perform under this Agreement or by law, and to use it only for purposes of performing obligations under this Agreement.

The foregoing obligations shall not apply to information that: (a) is or becomes publicly available other than by breach of this Agreement; (b) was known to the receiving party prior to disclosure; (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information; or (d) is required to be disclosed by law, provided the receiving party gives prompt notice and cooperates to limit disclosure.

Confidentiality obligations shall survive termination for a period of years, except with respect to trade secrets which shall remain protected to the extent permitted by applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. Any disputes arising under or relating to this Agreement shall be resolved exclusively in the state or federal courts located in that jurisdiction.

Entire Agreement and Miscellaneous

This Agreement (including all attachments and Schedules, if any) constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements, representations and understandings, whether written or oral, relating to the subject matter hereof.

No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. Neither party may assign this Agreement without the prior written consent of the other, except that Consultant may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Notices required under this Agreement shall be sent to the addresses set forth above and shall be deemed given upon receipt.

The parties acknowledge that they have read and understand this Agreement, and that each party has had the opportunity to consult with legal counsel prior to execution.
