WHEREAS

WHEREAS, Client desires to engage Service Provider to perform certain business, technical and information services and deliverables as more fully described herein; and

WHEREAS, Service Provider represents that it has the experience, personnel, and resources necessary to provide such services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend by this Agreement to set forth the scope, schedule, compensation, confidentiality protections and other terms governing their relationship.

SCOPE OF WORK

PAYMENT TERMS

Compensation: Client shall pay Service Provider the sum of USD for the services and deliverables described above, subject to adjustments agreed in writing.

Invoices shall be submitted by Service Provider and are due within days of receipt unless otherwise agreed in writing. Payment method:

Late Payment: Any past due amount shall accrue interest at , compounded monthly, or the maximum rate permitted by applicable law, whichever is lower. Client shall also be responsible for reasonable costs of collection, including attorneys' fees.

TERM AND TERMINATION

Term: This Agreement shall commence on and shall continue in effect until , unless earlier terminated in accordance with this Section.

Termination for Convenience: Either party may terminate this Agreement without cause upon days' prior written notice to the other party. Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within fourteen (14) days after receipt of written notice specifying the breach.

Effect of Termination: Upon termination, Client shall pay Service Provider for all services performed and reimbursable expenses incurred through the effective date of termination. Service Provider shall promptly deliver to Client all work product completed to the effective date of termination and, if requested by Client, reasonable assistance in the orderly transition of services.

CONFIDENTIALITY

Definition: "Confidential Information" means all non-public information disclosed by one party ("Disclosing Party") to the other ("Receiving Party") in connection with this Agreement, whether disclosed orally, in writing, or by inspection, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: Receiving Party shall (a) protect Confidential Information with the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors with a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein.

Exclusions: Confidential Information does not include information that (i) is or becomes publicly known through no breach of this Agreement; (ii) is rightfully received from a third party without restriction; (iii) is independently developed by Receiving Party without use of or reference to Disclosing Party's Confidential Information; or (iv) is required to be disclosed by law, provided Receiving Party gives prompt notice and cooperates with Disclosing Party to seek protective measures.

Duration: The confidentiality obligations set forth in this Section shall survive termination of this Agreement for a period of years, except with respect to trade secrets, for which protections shall continue for so long as such information qualifies as a trade secret under applicable law.

GOVERNING LAW; DISPUTE RESOLUTION

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law rules.

Dispute Resolution: The parties shall first attempt in good faith to resolve any dispute arising under this Agreement through negotiation between senior representatives. If the dispute is not resolved within thirty (30) days, the parties may pursue any available remedies in the courts of the state identified above.

MISCELLANEOUS

Independent Contractor: Service Provider is an independent contractor and not an employee, agent or partner of Client. Service Provider shall be solely responsible for all taxes, withholdings and other statutory obligations applicable to its performance.

Assignment: Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or as part of a sale of all or substantially all of its business.

Entire Agreement: This Agreement, together with any exhibits or statements of work incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral.

NOTICES

Notices shall be in writing and delivered by hand, nationally recognized overnight courier, or certified mail (return receipt requested) to the addresses set forth above, or to such other address as a party may designate in writing.
