Recitals

WHEREAS, Client requires the assignment, management, or utilization of a TUN identifier for certain business activities and related administrative operations; and

WHEREAS, Provider represents that it is authorized and capable of providing the TUN services described in this Agreement, including issuance, transfer, administration, or technical support with respect to the TUN identified as ; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the scope of work, payment, confidentiality, and other matters set forth below.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice. Either party may terminate without cause upon days' prior written notice to the other party.

Upon termination, Provider shall cease use of the TUN for Client's account and shall transfer any TUN assets or records to Client within days, subject to Client's payment of undisputed amounts then due.

Confidentiality

"Confidential Information" means nonpublic information disclosed by one party to the other that is designated confidential or that reasonably should be understood to be confidential given the nature of the information. Confidential Information excludes information that (a) is or becomes generally available to the public other than through a breach of this Agreement, (b) was lawfully in the receiving party's possession prior to disclosure, or (c) is independently developed without use of the disclosing party's Confidential Information.

The receiving party shall (i) use Confidential Information only as necessary to perform its obligations under this Agreement, (ii) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care, and (iii) not disclose Confidential Information to any third party except to employees, contractors, or advisors who need to know and who are bound by confidentiality obligations no less protective than those herein.

The confidentiality obligations shall continue for years following termination or expiration of this Agreement, except that trade secrets shall be protected for so long as they qualify as trade secrets under applicable law.

Representations; Compliance

Each party represents and warrants that it has the full right, power and authority to enter into and perform its obligations under this Agreement and that performance will not violate any agreement with a third party. Provider additionally represents that its performance will comply with applicable laws and regulations governing the issuance, assignment, or management of the TUN.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located within that jurisdiction for disputes arising under this Agreement.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against all third-party claims, liabilities, losses, damages and costs (including reasonable attorneys' fees) arising from the indemnifying party's breach of this Agreement or its gross negligence or willful misconduct. Except for liability arising from fraud, willful misconduct, or breach of confidentiality, neither party shall be liable for consequential, incidental, punitive or special damages, and aggregate liability shall not exceed the total amounts paid by Client to Provider under this Agreement in the twelve months preceding the claim.

Assignment

Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets, provided that the assignee assumes Provider's obligations hereunder in writing.

Entire Agreement

This Agreement, including all exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment or waiver must be in writing and signed by authorized representatives of both parties.
