WHEREAS

WHEREAS, Client desires to engage Service Provider to perform certain temporary work assignments and related services as described in this Agreement; and

WHEREAS, Service Provider represents that it has the qualifications, experience and ability to perform the services set forth herein and is willing to accept temporary assignments under the terms and conditions of this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to temporary work assignments and any ancillary services provided during the Term of this Agreement.

Scope of Work

Deliverables shall be accepted by Client within days of submission unless Client provides written notice of deficiencies specifying the basis for rejection. Service Provider shall correct any reasonable deficiencies at no additional charge and resubmit for acceptance.

Payment Terms

Invoices shall be issued to Client by Service Provider and are due within days of the invoice date. Overdue amounts shall incur a late fee equal to % per month (or the maximum permitted by law) on the outstanding balance.

Either party may terminate this Agreement for convenience upon giving the other party not less than days' prior written notice. Either party may terminate this Agreement for material breach upon written notice if the breach is not cured within days following receipt of written notice specifying the breach.

Termination shall not relieve Client of the obligation to pay for Services performed, accepted deliverables, or reimbursable expenses incurred prior to the effective date of termination. Upon termination, Service Provider will deliver any work in progress and reasonably cooperate with Client to effect an orderly transition.

Confidentiality

Each party (the "Receiving Party") will hold in confidence and will not disclose or use any Confidential Information of the other party (the "Disclosing Party") except as necessary to perform its obligations under this Agreement. "Confidential Information" includes non-public business, technical or financial information, trade secrets, and any information marked or reasonably understood to be confidential.

Confidentiality obligations do not extend to information that (a) is or becomes generally known to the public other than by breach of this Agreement; (b) was known to the Receiving Party prior to disclosure by the Disclosing Party; (c) is rightfully received from a third party without restriction; or (d) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information. The Receiving Party may disclose Confidential Information to the extent required by law or court order, provided it gives prompt notice to the Disclosing Party to allow for protective measures.

The obligation of confidentiality shall survive termination or expiration of this Agreement for a period of years, except that trade secrets shall be protected for as long as they qualify as trade secrets under applicable law.

Representations, Warranties and Liability

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder. Service Provider warrants that services will be performed in a professional and workmanlike manner in accordance with industry standards. For any breach of this warranty, the sole and exclusive remedy shall be re-performance of the nonconforming services or, if Service Provider is unable to re-perform, a refund of fees paid for the nonconforming portion.

Neither party shall be liable to the other for incidental, consequential, special or punitive damages, except for liability arising from gross negligence, willful misconduct, or breach of confidentiality obligations. Total aggregate liability for claims arising out of or relating to this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement during the twelve (12) months preceding the claim.

Independent Contractor

Service Provider is an independent contractor and nothing in this Agreement creates an employment, joint venture, agency or partnership relationship. Service Provider is solely responsible for payment of all taxes, withholdings and benefits related to Service Provider's personnel.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

The parties shall first attempt in good faith to resolve any dispute arising out of this Agreement through negotiation between senior representatives. If the dispute is not resolved through negotiation within 30 days, the parties agree that the dispute will be submitted to binding arbitration in accordance with the commercial arbitration rules then in effect, except where injunctive or other equitable relief is sought.

Entire Agreement; Amendments

This Agreement, including any exhibits, attachments or statements of work incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and understandings, whether written or oral.

No modification, amendment or waiver of any provision of this Agreement shall be effective unless made in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect. The parties acknowledge that monetary damages may be inadequate and that either party may seek injunctive relief to enforce this Agreement.
