This Business TWL Form (the "Agreement") is entered into as of by and between:

WHEREAS

WHEREAS, Client requires the performance of services and the delivery of specified work product in accordance with the terms set forth herein; and

WHEREAS, Service Provider has the skill, experience and capacity to perform such services and deliverables under the terms of this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the services, payments and confidentiality described herein.

SCOPE OF WORK

Changes to the Scope of Work must be documented in a written Change Order signed by authorized representatives of both parties. Service Provider will not commence work arising from a Change Order until authorized in writing.

PAYMENT TERMS

All amounts are payable in U.S. dollars unless otherwise agreed in writing. Client shall pay applicable sales, use or other taxes unless Client provides a valid exemption certificate. Fees not paid within the invoiced payment period shall accrue the Late Payment Fee specified above and Service Provider may suspend performance after ten (10) days' written notice of nonpayment.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above after receipt of written notice. Client may also terminate for convenience upon providing the notice set forth above; in such event, Client shall pay Service Provider for all work performed and reasonable costs incurred through the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means non-public, proprietary or business information disclosed by one party to the other, whether disclosed orally, visually or in writing. Confidential Information does not include information that: (a) is or becomes generally available to the public through no fault of the receiving party; (b) was rightfully in the receiving party's possession prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall (i) use Confidential Information solely for performance under this Agreement, (ii) limit disclosure to its employees, contractors and agents who have a need to know and are bound by confidentiality obligations at least as protective as those herein, and (iii) take commercially reasonable measures to protect such information. This confidentiality obligation will continue for years following termination or expiration of this Agreement.

Breach of confidentiality may cause irreparable harm for which monetary damages are inadequate; accordingly, the disclosing party shall be entitled to seek injunctive relief in addition to any other available remedies.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing in a separate assignment instrument, Service Provider retains ownership of all preexisting intellectual property and tools used in performing the services. Unless otherwise agreed, Service Provider grants Client a non-exclusive, non-transferable license to use deliverables for Client's internal business purposes upon full payment. Any third-party materials incorporated into deliverables remain subject to their original licenses, and Client shall comply with those license terms.

LIMITATION OF LIABILITY

Except for liability arising from wilful misconduct, gross negligence or breach of confidentiality, in no event will either party be liable for consequential, special, incidental or punitive damages. The aggregate liability of each party for any claim arising out of this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement during the preceding twelve (12) months.

GOVERNING LAW

This Agreement will be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising under this Agreement.

MISCELLANEOUS

Relationship of the Parties: The parties are independent contractors. Nothing contained in this Agreement creates an employment, partnership or joint venture relationship between the parties.

Notices: Notices must be in writing and delivered to the primary business address of the receiving party. A notice is effective when delivered by hand, or three (3) business days after deposit with a nationally recognized courier.

ENTIRE AGREEMENT

This Agreement (including all schedules and Change Orders executed under it) constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
