TERM AND TERMINATION

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receiving written notice specifying the breach.

CONFIDENTIALITY

Definition: "Confidential Information" means any non-public information disclosed by a party arising out of this Agreement, including business plans, pricing, client information, technical data, and trade secrets, whether disclosed in writing, orally, or by inspection.

Obligation: Each party agrees to hold Confidential Information in strict confidence, not to disclose it to third parties except as necessary to perform the services, and to use at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

Exclusions: Confidential Information does not include information that (a) is or becomes publicly available through no breach of this Agreement; (b) is rightfully received from a third party without restriction; (c) was known prior to disclosure; or (d) is independently developed.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of , without regard to its conflict of laws principles.

NOTICES

All notices required or permitted under this Agreement shall be in writing and deemed given when delivered in person, by certified mail (return receipt requested), or by nationally recognized overnight courier to the addresses provided above.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that Company may assign to an affiliate or successor in interest.

Amendment: This Agreement may be amended only by a written instrument signed by authorized representatives of both parties.

ENTIRE AGREEMENT

This Agreement, together with any attachments and the Scope of Work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, proposals, and agreements, whether written or oral.
