BUSINESS UCRS FORM

WHEREAS

WHEREAS, Client Name: (the "Client") requires professional assistance to prepare, file and maintain Uniform Carrier Registrations and related business UCRs filings (collectively, "UCRs");

WHEREAS, Service Provider Name: (the "Service Provider") represents that it is qualified and experienced to provide UCRs services and will perform such services under the terms and conditions of this Agreement;

WHEREAS, the parties desire to set forth the terms under which Service Provider will deliver UCRs services to Client commencing on Effective Date: .

SCOPE OF WORK

Service Provider will provide the services described below. Service Provider will prepare, review and submit UCRs filings required by jurisdictions identified by Client, monitor filing deadlines, and advise Client of any required supporting documentation. Services will include reasonable follow-up communications with jurisdictional authorities to resolve routine questions and processing issues.

PAYMENT TERMS

Compensation. Client shall pay Service Provider the fees set forth below in consideration for services performed under this Agreement. All fees are exclusive of any taxes, filing fees or third-party charges which shall be reimbursed by Client.

Invoices shall be issued by Service Provider in accordance with the Payment Schedule. Client shall pay each undisputed invoice within days of invoice date. Late payments shall incur a late fee as described below.

In the event Client fails to timely pay undisputed amounts, Service Provider may suspend services after ten (10) days' written notice and shall be entitled to recover collection costs, including reasonable attorney fees, to the extent permitted by law.

TERM AND TERMINATION

Term. This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided herein.

Termination. Either party may terminate this Agreement for convenience upon providing Written Notice Period (days): days' prior written notice to the other party. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice of breach. Termination shall not relieve Client of its obligation to pay for services performed and costs incurred through the effective date of termination, plus any non-cancellable obligations.

CONFIDENTIALITY

Definition. "Confidential Information" means non-public business, financial, technical and other information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party") in connection with this Agreement, whether disclosed orally, in writing, or by inspection of tangible objects, that is marked or reasonably understood to be confidential.

Obligations. Receiving Party shall (a) hold Confidential Information in strict confidence and take reasonable measures to prevent disclosure; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to its employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations at least as restrictive as those herein.

Exclusions. Confidential Information does not include information that: (i) was in the public domain at the time of disclosure; (ii) becomes public through no fault of Receiving Party; (iii) was lawfully in Receiving Party's possession prior to disclosure; or (iv) is independently developed without the use of Confidential Information. Receiving Party may disclose Confidential Information to the extent required by law or regulation, provided it gives prompt written notice to Disclosing Party and cooperates to seek protective relief.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any attachments and written statements of work expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

ADDITIONAL PROVISIONS

Independent Contractor. Service Provider is an independent contractor and nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship between the parties.

Indemnification. Each party shall indemnify and hold harmless the other party from and against claims, liabilities, losses and expenses (including reasonable attorney fees) arising out of the indemnifying party's breach of this Agreement, negligence or willful misconduct, except to the extent caused by the indemnitee's gross negligence or willful misconduct.
