This Business Unconditional Document (the "Agreement") is made effective as of by and between:

RECITALS

WHEREAS, Client Name: seeks to obtain certain services from Provider Name: under unconditional terms;

WHEREAS, Provider represents that it has the experience, personnel and resources necessary to provide such services and agrees to perform the services strictly pursuant to the terms of this Agreement; and

WHEREAS, the parties intend that this Agreement create an unconditional obligation on Provider to perform the described services and on Client to pay the amounts specified without condition, except as expressly provided herein.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

PAYMENT TERMS

Client shall pay Provider the amounts set forth below as full and unconditional compensation for the services rendered under this Agreement. All payments are due in accordance with the schedule provided and are unconditional obligations of Client.

Late payments shall accrue a late fee as specified below. Client acknowledges that timely payment is a material obligation.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in strict confidence all Confidential Information disclosed by the other party (the "Disclosing Party") and shall not use or disclose such information except as expressly permitted by this Agreement. "Confidential Information" includes non-public business, technical, financial and customer information, whether written or oral, marked confidential or that reasonably should be understood to be confidential.

ENTIRE AGREEMENT

No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties.
