BUSINESS UNDERGROUND AGREEMENT

This Business Underground Agreement ("Agreement") is entered into as of the day of , , by and between:

RECITALS

WHEREAS, Owner is the owner of certain subterranean space and related rights located at or beneath (the "Underground Premises"); and

WHEREAS, Operator desires to use the Underground Premises to install, operate, maintain and access business infrastructure and appurtenances described herein, and Owner is willing to grant such use subject to the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend for this Agreement to allocate rights, obligations, and liabilities relating to the use, maintenance, and restoration of the Underground Premises.

SCOPE OF WORK

Operator shall perform the work and activities described below within the Underground Premises. All work shall be performed in a safe, professional manner in compliance with applicable law and the technical specifications attached or described herein.

PAYMENT TERMS

As consideration for the rights granted herein, Operator shall pay Owner the amounts and on the schedule set forth below. All payments are non-refundable except as expressly stated.

TERM AND TERMINATION

This Agreement shall commence on the Start Date set forth below and shall continue until the End Date unless earlier terminated pursuant to this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above after written notice. Owner may also terminate immediately if Operator's use poses an imminent threat to health, safety, or the structural integrity of the Underground Premises.

CONFIDENTIALITY

Each party shall treat as confidential all non-public information disclosed by the other party in connection with this Agreement, including engineering plans, proprietary installation methods, and commercial terms. Confidential obligations shall continue for years following termination or expiration, except as required by law or court order.

INSURANCE AND INDEMNITY

Operator shall, at its sole cost and expense, maintain insurance coverage customary for the type and scope of the work, including commercial general liability and subterranean operations coverage, and provide certificates evidencing such coverage upon request. Minimum insurance limits:

Operator agrees to indemnify, defend and hold harmless Owner, its affiliates and their respective officers, directors and agents from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Operator's activities at the Underground Premises, except to the extent directly caused by Owner's gross negligence or willful misconduct.

ACCESS, RESTORATION, AND COMPLIANCE

Owner shall provide reasonable access to the Underground Premises for Operator and its contractors during agreed hours. Operator shall perform any necessary restoration of surface and subsurface improvements to a condition at least equal to pre-existing condition within a commercially reasonable time after any excavation or work.

Operator shall obtain and maintain all permits, approvals and licenses necessary for the performance of the work and shall comply with all applicable federal, state and local laws, regulations and codes.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law.

ENTIRE AGREEMENT

This Agreement, including any exhibits or written addenda signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements, whether oral or written. No amendment shall be effective unless in writing and signed by duly authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any breach shall be deemed a waiver of any other or subsequent breach. Notices required under this Agreement shall be in writing and delivered to the addresses set forth above.
