Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least prior to the effective date of termination. Termination for cause may be immediate where a material breach has not been cured within a period of thirty (30) days after written notice of the breach. Termination does not relieve either party of obligations accrued prior to termination, including payment for work performed.

Confidentiality

Each party (the "Recipient") will keep confidential and not disclose to any third party without the disclosing party's ("Discloser") prior written consent any Confidential Information received from the Discloser. "Confidential Information" means non-public business, technical, financial, and other proprietary information disclosed in connection with this Agreement, whether oral, written, or electronic. The Recipient may disclose Confidential Information only to those of its employees, contractors, or advisors who have a need to know and who are bound to confidentiality obligations at least as protective as those in this Agreement. The obligations in this section will survive termination of this Agreement for a period of three (3) years, except that trade secrets and information that qualifies as trade secret under applicable law shall be protected for as long as such status exists.

Representations and Warranties

Each party represents and warrants that it has the full power and authority to enter into and perform its obligations under this Agreement, and that performance will not violate any other agreement, law, or court order. Party A further warrants that services will be performed in a professional and workmanlike manner in accordance with industry standards.

Indemnification and Limitation of Liability

Each party agrees to indemnify, defend and hold harmless the other party from and against third-party claims arising out of the negligent acts or willful misconduct of the indemnifying party. Except for breaches of confidentiality, gross negligence, willful misconduct, or indemnification obligations, neither party will be liable for consequential, incidental, special, or punitive damages. The aggregate liability of each party for claims arising out of this Agreement shall not exceed the total compensation paid under this Agreement in the twelve (12) months preceding the claim.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by personal delivery, certified mail, or overnight courier, and shall be effective upon receipt.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of , without regard to principles of conflicts of law. The parties agree to use good-faith negotiation to resolve disputes and may pursue injunctive relief where necessary to prevent irreparable harm. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or successor entity in connection with a merger or sale of substantially all of its assets.
