What a Business Unit Purchase Amendment Is

A Business Unit Purchase Amendment is a written modification to an existing purchase agreement that changes the scope, price, assets, liabilities, or closing terms related to the sale of a business unit. It records negotiated adjustments such as excluded assets, post-closing obligations, allocation of liabilities, and revised payment schedules. The amendment should reference the original purchase agreement, specify the effective date, identify the parties and the affected business unit, and state whether other provisions remain unchanged. Proper execution, signature authority, and retention of the amendment preserve enforceability and streamline closing and post-closing administration.

Why Use a Focused Amendment Instead of Re‑drafting

Used to record negotiated changes without re-drafting the full agreement, a Business Unit Purchase Amendment maintains contract continuity, clarifies obligations after closing, reduces litigation risk, and documents tax and accounting allocations that affect closing statements and post-closing adjustments.

Why Use a Focused Amendment Instead of Re‑drafting

Who Typically Prepares and Approves an Amendment

Typical users who prepare or approve a Business Unit Purchase Amendment include corporate counsel, deal leads, and accounting teams coordinating closing adjustments.

  • Acquiring company legal team managing representations, warranties, and indemnity adjustments.
  • Seller finance officers adjusting purchase price, net working capital, and escrow terms.
  • External counsel or accountants reviewing tax allocation and closing statement changes.

Use a clear signatory matrix and approvals log to confirm authority and avoid post-closing disputes.

Authorized Signers and Typical Approvers

Acquirer GC

As lead legal approver, the acquirer’s general counsel reviews amendment language for consistency with the purchase agreement, confirms authority to bind the buyer, negotiates indemnity and escrow changes, and signs or certifies execution per corporate resolutions.

Seller CFO

The seller’s chief financial officer validates revised consideration, tax and accounting allocations, outstanding liabilities, and escrow releases, coordinates with tax counsel on post-closing adjustments, and confirms that signatories are authorized under the seller’s organizational documents.

Essential Sections to Include in the Amendment

A professional Business Unit Purchase Amendment should be precise, reference original provisions, and unambiguously state changes to assets, liabilities, consideration, and closing mechanics.

Recitals

Summarize background facts and identify the original purchase agreement by date and parties; explain why the amendment is necessary and which business unit or asset groups are affected.

Amended Terms

Specify each clause being modified, the exact replacement text or numeric adjustments, cross-reference original section numbers to avoid ambiguity, and note whether other provisions survive unchanged.

Consideration

State the revised purchase price, payment schedule, escrow amounts, and any contingent earnouts or holdbacks, including formulas, valuation assumptions, and deadlines for payments or releases.

Liabilities

Specify which liabilities transfer to the buyer, which remain with the seller, and any indemnity caps, baskets, survival periods, claim procedures, or insurance claim handling details.

Closing Mechanics

Detail closing deliverables, conditions precedent, prorations, tax clearance obligations, wire instructions, escrow release mechanics, and the agreed effective date for accounting and tax purposes explicitly.

Signatures

Identify authorized signatories, include execution blocks with printed names, titles, dates, and any required corporate resolutions, attestations, or power of attorney references to confirm authority.

Provide notary block with jurisdiction and acknowledgment language.

06

Authentication Methods

Acceptable methods include ID verification, KBA, or credential analysis.

Common Preparation Mistakes to Avoid

  • Failing to reference the original agreement date or section numbers creates ambiguity about which terms are amended and may trigger disputes at closing or in litigation.
  • Using vague language for consideration or escrow releases often results in differing interpretations and delayed disbursements unless formulas and triggers are explicitly defined.
  • Neglecting to confirm signatory authority or attach corporate resolutions can lead to unenforceable signatures and potential rescission claims post-closing.
  • Failing to coordinate tax allocations with accountants may create IRS reporting mismatches, affecting depreciation schedules and resulting in unexpected tax liabilities.
