BUSINESS UNIT AGREEMENT

This Business Unit Agreement (the Agreement) is entered into as of (Effective Date), by and between:

Recitals

WHEREAS, Company Name: operates products, services, and business processes and desires to create and define a discrete business unit to manage a defined line of business; and

WHEREAS, Business Unit Operator: has the experience and resources to operate the defined business unit and will perform the responsibilities and services set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

Scope of Work

The Business Unit Operator shall implement, manage, and report on the activities of the Business Unit consistent with the following description and deliverables. The Business Unit Operator shall perform services in a professional manner in accordance with industry standards and applicable law.

Payment Terms

In consideration for the services rendered under this Agreement, Company shall pay the Business Unit Operator as set forth below. All amounts are payable in lawful currency and are exclusive of sales, use, value-added or similar taxes unless otherwise required by law.

Late fee shall accrue on overdue amounts beginning the day after the payment due date and shall compound monthly where permitted by law.

Term and Termination

This Agreement commences on the Start Date and, unless earlier terminated in accordance with this Agreement, continues until the End Date.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above following written notice. Termination for convenience is permitted only if expressly stated in this Agreement or agreed in writing by both parties.

Confidentiality

Each party (Recipient) shall keep confidential all non-public information disclosed by the other party (Discloser) that is marked confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Recipient shall use Confidential Information solely for the performance of this Agreement and shall not disclose it to any third party except to its employees, agents, contractors or affiliates who have a need to know and who are bound by obligations of confidentiality at least as protective as those set forth herein.

Confidential Information does not include information that: (a) is or becomes generally available to the public other than through a breach of this Agreement; (b) was known to Recipient prior to disclosure as evidenced by written records; (c) is rightfully obtained by Recipient from a third party without restriction; or (d) is independently developed by Recipient without use of Discloser's Confidential Information.

Upon termination or expiration of this Agreement, Recipient shall promptly return or destroy Discloser's Confidential Information and certify in writing that it has complied with this obligation, except to the extent retention is required by law or to preserve records of payments and obligations, in which case retained material remains subject to the confidentiality obligations herein.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties agree that disputes arising under this Agreement shall be resolved by the courts located in the county and state specified by the governing law clause, unless the parties agree in writing to alternative dispute resolution.

Representations; Assignment; Amendment

Each party represents and warrants that it has the authority to enter into and perform this Agreement. Neither party may assign this Agreement or any rights or obligations hereunder without the prior written consent of the other party, except to an affiliate or in connection with a merger or sale of substantially all assets, provided that the assignee assumes the assigning party's obligations in writing. This Agreement may be amended only by a written instrument executed by both parties.

Entire Agreement

This Agreement, including any exhibits and attachments referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No course of dealing or trade practice will modify any provision of this Agreement.
