This General Business Agreement (the Agreement) is entered into as of by and between:

WHEREAS, Service Provider represents that it has the expertise, personnel and resources to perform the business services described in this Agreement; and

WHEREAS, Client desires to engage Service Provider to perform such services on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that this Agreement set forth the full understanding between them regarding the services and payment to be provided.

SCOPE OF WORK

Service Provider shall perform the services and deliverables described below. The description below constitutes the material obligations of Service Provider; specific schedules and deliverables shall be set forth in writing as attachments when necessary.

PAYMENT TERMS

Client shall pay Service Provider the fees for services as set forth below. All fees are exclusive of taxes unless otherwise stated.

TERM AND TERMINATION

This Agreement commences on the Start Date and, unless earlier terminated in accordance with this Agreement, continues until the End Date.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified above. Termination shall be without prejudice to any right or remedy accrued prior to termination.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means any non-public information disclosed by one party to the other, whether disclosed orally, visually or in writing, including business plans, customer lists, pricing, financial information, trade secrets, and technical data. Confidential Information does not include information that:

(a) is or becomes publicly known through no breach of this Agreement; (b) is received from a third party without breach of any obligation of confidentiality; (c) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information; or (d) is required to be disclosed by law, provided the receiving party gives prompt written notice and cooperates with the disclosing party to seek protective relief.

The receiving party shall: (i) use Confidential Information solely to perform its obligations under this Agreement; (ii) take reasonable measures to protect Confidential Information from unauthorized use or disclosure; and (iii) not disclose Confidential Information to any third party except to employees, agents or subcontractors who have a need to know and are bound by confidentiality obligations at least as protective as those in this Agreement. These confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, or longer if required by applicable law with respect to trade secrets.

MISCELLANEOUS

Independent Contractor. Service Provider is an independent contractor and not an employee, agent, joint venturer or partner of Client. Service Provider shall be solely responsible for all taxes, withholdings and other statutory obligations.

Assignment. Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign this Agreement without consent to a successor in interest in the event of a merger, acquisition or sale of substantially all of its assets.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any attachments or addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.
