RECITALS

WHEREAS, Client desires to engage Service Provider to perform professional services as more fully described in this Agreement; and

WHEREAS, Service Provider represents that it has the expertise, personnel, and resources necessary to perform the agreed services and will perform such services in accordance with the terms and conditions set forth herein; and

WHEREAS, the parties desire to set forth the terms of their understanding in writing.

SCOPE OF WORK

Service Provider shall perform the services described below. The services shall include all tasks, deliverables, and responsibilities necessary to achieve the objectives stated. Any modification to the Scope of Work must be agreed in writing and signed by authorized representatives of both parties.

PAYMENT TERMS

Client shall pay Service Provider the fees and expenses set forth below in consideration of services rendered. Fees do not include taxes unless specifically stated.

Any undisputed amount not paid within days of the invoice due date shall accrue a late fee of , compounded monthly, or the maximum rate permitted by law, whichever is lower.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and continue until the End Date unless earlier terminated in accordance with this Agreement.

CONFIDENTIALITY

Each party (the "Receiving Party") acknowledges that during performance under this Agreement it may receive Confidential Information of the other party (the "Disclosing Party"). Confidential Information means non-public business information, technical data, trade secrets, financial information, client lists, pricing and other proprietary materials disclosed in any form.

The Receiving Party shall: (a) use Confidential Information only to perform its obligations under this Agreement; (b) restrict disclosure to employees, agents, or contractors having a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) take commercially reasonable measures to protect Confidential Information from unauthorized use or disclosure. The foregoing obligations shall not apply to information that is or becomes publicly available through no fault of the Receiving Party, is already lawfully in the Receiving Party's possession, or is independently developed without use of the Disclosing Party's Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles. Exclusive venue for any dispute arising under this Agreement shall be the state or federal courts located in the county in which the governing law state’s capital is located, unless otherwise agreed in writing.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver of any breach shall not constitute waiver of any subsequent breach.

Notices: Any notice required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate by written notice to the other.
