Recitals

WHEREAS, the Reporting Entity is required to identify and report Ultimate Ownership and Control information (UOC) for the purpose of internal compliance, due diligence, and regulatory review; and

WHEREAS, the Service Provider has been engaged to prepare, compile and deliver the Business UOC Report (the Report) and to provide related advisory services in accordance with the terms of this Engagement Agreement; and

WHEREAS, the Reporting Entity warrants that it will supply accurate source documentation and reasonable cooperation necessary for completion of the Report.

Either party may terminate this Engagement Agreement for material breach that remains uncured for the notice period above, for insolvency of the other party, or by mutual written agreement. Termination does not relieve the Reporting Entity of payment obligations for services performed through the effective termination date.

Confidentiality

Each party shall hold in confidence and shall not disclose to any third party, except as required by law or regulation, any non-public information obtained in connection with the Report. Confidential information may be disclosed to professional advisors on a need-to-know basis provided such advisors are bound by confidentiality obligations at least as protective as those set forth herein.

Representations; Certification

The Reporting Entity represents and warrants that the information and documents provided to the Service Provider are true, correct and complete to the best of the Reporting Entity's knowledge. The Reporting Entity further certifies that it has disclosed all individuals and entities meeting the ownership or control criteria set forth above.

Governing Law

This Agreement and the Report shall be governed by and construed in accordance with the laws of the state of without regard to principles of conflicts of law.

Entire Agreement

This document, together with any attachments and written schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements, understandings and communications between the parties regarding the Business UOC Report and related services.

Miscellaneous Provisions

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Amendments must be in writing and signed by both parties.
