TERM AND TERMINATION

Either party may terminate this Agreement for convenience upon written notice to the other party delivered no fewer than days prior to the effective termination date. Termination for material breach shall be effective immediately upon written notice if the breaching party fails to cure within thirty (30) days of receipt of written notice.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party agrees: (a) to hold Confidential Information in strict confidence and to use it solely for the purposes of performing obligations under this Agreement; (b) not to disclose Confidential Information to third parties except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein; and (c) to take reasonable measures to protect the confidentiality of such information. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, is independently developed without use of the disclosing party's Confidential Information, or is rightfully received from a third party without breach of an obligation of confidentiality. The obligations set forth in this section shall survive termination or expiration of this Agreement for a period of three (3) years, except that trade secrets shall be protected for so long as they qualify as trade secrets under applicable law.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below, and shall be effective upon delivery when delivered personally, by nationally recognized overnight courier, or by certified mail, return receipt requested.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties agree that exclusive jurisdiction for any dispute arising under this Agreement shall lie with the state or federal courts located in such state unless the parties mutually agree otherwise in writing.

This Agreement, including all exhibits and attachments referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings and agreements, whether written or oral. No amendment or modification of this Agreement shall be binding unless in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

Waiver of any provision or breach shall not constitute a waiver of any other provision or subsequent breach. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Each party represents that it has the authority to enter into this Agreement and to perform the obligations set forth herein.
