Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Termination for cause may be effected immediately by the non-breaching party upon written notice if the breaching party fails to cure a material breach within thirty (30) days after receiving written notice specifying the breach.

CONFIDENTIALITY

Each party acknowledges that during the performance of this Agreement it may receive or have access to proprietary or confidential information of the other party ("Confidential Information"). Confidential Information shall include, without limitation, business plans, financial data, customer lists, and technical information. Each party agrees to: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as expressly permitted in writing; and (c) use Confidential Information solely for the purposes of performing under this Agreement. The obligations of confidentiality shall not apply to information that: (i) is or becomes public through no breach of this Agreement; (ii) was lawfully in the receiving party's possession prior to disclosure; (iii) is independently developed by the receiving party; or (iv) is required to be disclosed by law, provided that the disclosing party is given prompt notice and an opportunity to seek protective measures.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising from the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement. Except for liability arising from gross negligence, willful misconduct, or breaches of confidentiality, in no event shall either party be liable for consequential, incidental, special or punitive damages.

NOTIFICATIONS

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. This Agreement, together with any exhibits or attachments signed by the parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements, understandings and communications, whether written or oral.

AMENDMENTS

Any amendment or modification of this Agreement must be in writing and executed by authorized representatives of both parties.
