Business Upgrade Addendum

This Business Upgrade Addendum ("Addendum") is made effective as of by and between Client Name: and Service Provider Name: .

WHEREAS, the parties desire to amend the Original Agreement to add and describe upgraded services, equipment, or functionality under the terms set forth in this Addendum.

All invoices shall identify the applicable upgrade milestone. Payment obligations are independent of other obligations under the Original Agreement except as expressly modified herein.

Term and Termination

This Addendum commences on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Addendum for convenience upon days' prior written notice to the other party. Either party may terminate for cause if the other party materially breaches this Addendum and fails to cure within days after receipt of written notice specifying the breach.

Upon termination, Client shall pay Provider for all work performed and non-cancellable commitments incurred through the effective date of termination. Termination shall not relieve either party of obligations that expressly survive termination.

Confidentiality

Each party (the "Receiving Party") shall maintain in confidence all non-public information disclosed by the other party (the "Disclosing Party") that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that: (a) is or becomes publicly known through no fault of the Receiving Party; (b) was rightfully in the Receiving Party's possession prior to disclosure; (c) is lawfully received from a third party without restriction; or (d) is independently developed without use of the Disclosing Party's Confidential Information.

The Receiving Party shall not use Confidential Information except to exercise its rights and perform its obligations under this Addendum, and shall protect Confidential Information with the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. If the Receiving Party is compelled to disclose Confidential Information by law or regulation, it shall give the Disclosing Party prompt notice where permitted and cooperate in seeking appropriate protective relief.

Acceptance, Warranties, and Remedies

Provider warrants that the upgraded deliverables will materially conform to the Specifications set forth in this Addendum for a period of following acceptance. Client shall conduct acceptance testing within business days of delivery and shall report any non-conformities in writing. Provider shall use commercially reasonable efforts to cure confirmed defects.

Governing Law

This Addendum shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

Entire Agreement and Amendment

This Addendum, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Except as amended by this Addendum, all terms of the Original Agreement remain in full force and effect. Any amendment to this Addendum must be in writing and signed by authorized representatives of both parties.

Severability

If any provision of this Addendum is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that most nearly accomplishes the original intent.
