BUSINESS UPGRADE AGREEMENT

This Business Upgrade Agreement (the "Agreement") is entered into as of Effective Date: between Client Name: and Provider Name: .

WHEREAS, Client presently operates a business described as: ; and

WHEREAS, Provider has experience and expertise in performing upgrades, improvements, and related professional services necessary to enhance Client's business systems and operations; and

WHEREAS, Client desires to obtain and Provider agrees to perform the upgrade services described below on the terms and conditions set forth in this Agreement.

1. Scope of Work

Provider shall perform the upgrade services and deliverables described below (the "Services"). Provider will perform the Services in a professional and workmanlike manner in accordance with generally accepted industry standards.

2. Payment Terms

As consideration for the Services, Client shall pay Provider the Total Upgrade Fee of (USD), payable pursuant to the schedule set forth below. All payments shall be made in lawful currency of the United States unless otherwise agreed in writing.

Invoices shall be submitted to: . Payment is due within days from invoice date.

Late payments shall accrue interest at the lesser of (a) % per month on the overdue amount, or (b) the maximum rate permitted by applicable law. In addition, Provider may suspend Services for undisputed overdue amounts thirty (30) days after written notice.

3. Term and Termination

This Agreement commences on Start Date: and shall continue until End Date: , unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party. Either party may terminate for material breach if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

Upon termination, Client shall pay Provider for Services performed and expenses incurred through the effective date of termination. Early termination fees, if any, are as follows: .

4. Confidentiality

"Confidential Information" means non-public information disclosed by a party in connection with this Agreement that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that: (a) is or becomes generally known to the public other than by breach of this Agreement; (b) was known to the receiving party prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed without use of Confidential Information.

Each party shall: (i) maintain the other's Confidential Information in strict confidence; (ii) use it only to perform its obligations under this Agreement; and (iii) restrict disclosure to employees or contractors with a need to know and who are bound by confidentiality obligations at least as protective as those herein. The obligations of confidentiality survive termination for a period of years, except that trade secrets shall be protected for so long as they qualify as trade secrets under applicable law.

5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising out of this Agreement.

6. Entire Agreement

This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendments or modifications must be in writing and signed by authorized representatives of both parties.

7. Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign to an affiliate or in connection with a sale of substantially all of its assets. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
