RECITALS

WHEREAS, Client Name: is engaged in the operation of its business and desires to obtain specified upgrades to systems, services, or assets described below; and

WHEREAS, Service Provider Name: possesses the expertise and capacity to perform the requested upgrades under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties wish to set forth the scope, schedule, payment, and confidentiality obligations governing the upgrade engagement effective as of Effective Date: .

AGREEMENT

SCOPE OF WORK

The Service Provider shall perform the upgrade services and related deliverables described below. The scope includes design, implementation, testing, commissioning, documentation, and support activities as specified.

PAYMENT TERMS

Client agrees to pay Service Provider in consideration for the Work. All amounts are stated in the currency of the parties' agreement and exclude any applicable taxes unless otherwise specified.

If any payment is not received by the due date, Client shall pay a late fee of per month compounded, or a flat fee of (whichever is greater). Interest and fees shall accrue from the date payment is due until paid in full.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this Section.

CONFIDENTIALITY

Each party (the "Recipient") shall keep confidential all non-public information disclosed by the other party (the "Discloser") that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). The Recipient shall not use or disclose Confidential Information except as necessary to perform obligations under this Agreement or as required by law. The Recipient shall take reasonable measures to protect Confidential Information, at a standard no less protective than those it uses to protect its own confidential information. Confidential Information does not include information that: (a) is or becomes generally available to the public other than as a result of a breach of this Agreement; (b) was rightfully known to the Recipient prior to disclosure; or (c) is independently developed by the Recipient without use of or reference to Discloser’s Confidential Information.

LIMITATION OF LIABILITY

Except as required by applicable law or for each party's indemnification obligations for third-party claims arising from gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental, special, punitive, or exemplary damages, even if advised of their possibility. The aggregate liability of either party for direct damages arising from or related to this Agreement shall not exceed the total amount paid by Client to Service Provider under this Agreement in the twelve (12) month period preceding the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict of laws principles.

ENTIRE AGREEMENT; AMENDMENTS

This Agreement, together with any documents expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous negotiations, proposals, representations, and agreements, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by hand, certified mail (return receipt requested), or nationally recognized overnight courier, and shall be effective upon receipt.

ADDITIONAL PROVISIONS

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a transfer of substantially all of its business or assets without consent, provided the assignee assumes all obligations.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
