BUSINESS UPGRADE LETTER

Recitals

WHEREAS, Client Name: (the "Client") seeks to upgrade certain business systems and/or services; and

WHEREAS, Service Provider: (the "Provider") represents that it has the experience and resources to perform the proposed upgrade; and

WHEREAS, the parties desire to set forth the terms under which the Provider will perform the business upgrade commencing on Effective Date: .

Parties

Scope of Work

The Provider shall perform the following upgrade services in accordance with the terms of this letter and incorporated schedules. The parties expressly agree that the Scope of Work below defines deliverables, acceptance criteria, and milestones.

Payment Terms

Client shall pay Provider the Total Upgrade Cost in consideration of the services and deliverables described in the Scope of Work.

Late payments shall incur a late fee assessed monthly on any outstanding balance.

Term and Termination

This Agreement commences on Start Date: and shall continue until End Date: , unless earlier terminated pursuant to this section.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for a period of Notice Period: days following written notice specifying the breach. Termination shall not relieve the Client of payment obligations for services performed prior to termination.

Confidentiality

Each party acknowledges that during performance it may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical, financial and proprietary information disclosed in any form. Each party shall (i) hold such Confidential Information in strict confidence, (ii) use it solely to perform obligations under this Agreement, and (iii) not disclose it except to employees, agents or subcontractors having a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidential Information does not include information that is or becomes generally available to the public without breach of this Agreement, was known prior to disclosure, or is independently developed.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. Exclusive venue for disputes shall be the state or federal courts located within that state.
