BUSINESS USAGE ADDENDUM

Recitals

WHEREAS, Party A owns and operates a business and associated assets, including trademarks, trade names, proprietary procedures, and certain facilities and systems (collectively, the "Business Assets"); and

WHEREAS, Party B desires to obtain a limited, revocable right to use certain Business Assets for the purposes and on the terms set forth in this Addendum; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Scope of Use

Party A grants Party B a non-exclusive, non-transferable right to use the Business Assets solely for the business purposes described below and subject to the restrictions set forth in this Addendum. Use beyond the scope below requires prior written consent from Party A.

Payment Terms

As consideration for the rights granted under this Addendum, Party B shall pay Party A as follows.

Late payments shall incur interest at: (or the maximum rate permitted by law, if lower).

Term and Termination

This Addendum commences on and, unless earlier terminated in accordance with this Addendum, expires on .

Either party may terminate this Addendum for convenience upon providing days' prior written notice to the other party. Termination for material breach shall be effective immediately upon written notice if the breach is not cured within days after receipt of notice.

Confidentiality

Each party acknowledges that, in connection with this Addendum, it may receive confidential or proprietary information of the other party ("Confidential Information"). Confidential Information shall not include information that (a) is or becomes publicly available through no fault of the receiving party, (b) was in the receiving party's lawful possession prior to disclosure, (c) is rightfully received from a third party without restriction, or (d) is independently developed without use of Confidential Information. The receiving party shall: (i) hold Confidential Information in strict confidence, (ii) not use Confidential Information for any purpose other than performance under this Addendum, and (iii) only disclose Confidential Information to employees and agents with a need to know and subject to confidentiality obligations no less protective than those set forth herein.

Representations; Compliance

Each party represents and warrants that it has full corporate or organizational authority to enter into this Addendum, that performance will comply with all applicable laws, and that no consent of any third party is required except as disclosed in writing. Party B agrees to conduct all business uses in a manner consistent with applicable regulatory requirements and accepted industry practices.

Indemnification

Party B shall defend, indemnify and hold harmless Party A and its officers, directors, agents and employees from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or in connection with Party B's use of the Business Assets in violation of this Addendum or applicable law.

Governing Law

This Addendum shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

Entire Agreement; Amendments

This Addendum, together with any agreements expressly incorporated herein, constitutes the complete and exclusive statement of the agreement between the parties with respect to the subject matter herein and supersedes all prior oral or written communications and proposals. Any amendment or modification of this Addendum must be in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Addendum shall be in writing and deemed given when delivered in person, by nationally recognized overnight courier, or by certified mail (return receipt requested) to the addresses provided above or to such other address as either party may designate by written notice to the other.
