BUSINESS USAGE DOCUMENT

Recitals

WHEREAS, Company owns and operates certain business assets, facilities, intellectual property, and operational processes that comprise the Company's business resources (collectively, the "Business Resources"); and

WHEREAS, Authorized User desires to obtain the limited right to access and use specified Business Resources for commercial operations described in this Agreement, and Company is willing to grant such right subject to the terms and conditions set forth herein; and

WHEREAS, the parties intend by this Agreement to define the scope, payment, confidentiality, term, and other obligations associated with such authorized business use.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Company may terminate immediately for material breach by Authorized User, including failure to pay fees, unauthorized use, or failure to maintain required insurance.

Upon termination or expiration, Authorized User shall promptly cease use of the Business Resources and return or destroy all Company materials and confidential information in accordance with Section below.

Confidentiality

"Confidential Information" means non-public technical, operational, financial, strategic, and business information disclosed by Company to Authorized User in connection with the Agreement. Authorized User shall (i) hold Confidential Information in strict confidence, (ii) not disclose it to any third party except as expressly permitted in this Agreement, and (iii) use Confidential Information only to perform authorized business activities under this Agreement.

The confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no breach by Authorized User; (b) is rightfully received from a third party without restriction; or (c) is independently developed by Authorized User without use of Company Confidential Information. If Authorized User is compelled by law to disclose Confidential Information, Authorized User shall, to the extent permitted, provide Company with prompt written notice and cooperate to seek protective measures.

Insurance, Compliance and Indemnity

Authorized User shall comply with all applicable laws and regulations in connection with its use. Authorized User shall maintain commercial general liability insurance and any other coverages reasonably required by Company and shall indemnify, defend and hold Company harmless from claims arising out of Authorized User's negligent or willful acts or omissions in connection with the permitted use.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. Venue for any dispute arising under this Agreement shall be the state or federal courts located in that state.

Entire Agreement

This Agreement, together with any exhibits or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings and agreements, whether written or oral. No amendment or waiver of any provision of this Agreement will be effective unless made in writing and signed by authorized representatives of both parties.

Miscellaneous

Assignment: Neither party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, except that Company may assign to an affiliate or successor by merger or sale of substantially all of its assets.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
