BUSINESS USAGE FORM

This Business Usage Form (the Agreement) is made effective as of by and between: Business Owner Name: and User Name: .

WHEREAS

WHEREAS, Business Owner represents that it is the lawful owner or authorized manager of the business assets, premises, intellectual property and/or services described in this Agreement and is empowered to grant limited usage rights to User; and

WHEREAS, User desires to obtain a limited license to use Business Owner's facilities, trade name, equipment and related services for the purposes and subject to the limitations set forth in this Agreement; and

WHEREAS, the parties desire to set forth in writing the permitted use, compensation, confidentiality obligations and other material terms governing such use.

SCOPE OF USE

Permitted use is limited to the activities expressly described above. User shall not use the business name, trademarks, premises, equipment, services or other assets for any activity that materially alters Business Owner's operations, creates a nuisance, or violates law. Any expansion of permitted use requires prior written consent from Business Owner.

PAYMENT TERMS

Payments are due as set forth above. Late payments shall accrue interest or fees as specified and User shall also be responsible for collection costs and reasonable attorneys' fees incurred by Business Owner to enforce payment obligations.

Either party may terminate this Agreement for convenience by delivering written notice to the other party in accordance with the Notices section, subject to the notice period specified above. Business Owner may terminate immediately for material breach, illegal activity, or threats to health and safety. Upon termination, User shall promptly vacate premises, remove personal property and return any confidential materials.

CONFIDENTIALITY

Each party acknowledges that during the performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical, financial or customer information disclosed directly or indirectly. Each recipient shall: (a) hold Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information; (b) not disclose Confidential Information to third parties except to employees, contractors or advisors with a need to know and subject to confidentiality obligations; and (c) use Confidential Information solely to perform its obligations under this Agreement. Confidentiality obligations will survive termination for a period of three (3) years, except for trade secrets which shall be protected for so long as they remain trade secrets under applicable law.

INSURANCE AND INDEMNITY

User shall maintain at its expense general liability insurance covering its activities under this Agreement in amounts sufficient for the scope of use and shall provide certificates of insurance upon request. User shall indemnify, defend and hold harmless Business Owner from and against all claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of User's use, negligent acts, omissions or willful misconduct, except to the extent caused by Business Owner's gross negligence or willful misconduct.

COMPLIANCE AND PERMITS

User shall obtain and maintain at its sole cost all licenses, permits and approvals required by applicable law for the permitted use. User shall comply with all applicable laws, regulations, codes and ordinances in performance of this Agreement.

NOTICES

Notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail (return receipt requested), or nationally recognized overnight courier, and are effective upon receipt.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. The parties agree that venue for any dispute shall lie in the state or federal courts located within that state.

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous oral or written agreements and representations. Any amendment or modification must be in writing and signed by both parties.

REPRESENTATIONS AND CERTIFICATION

Each party represents and warrants that it has the full power and authority to enter into this Agreement, that the person executing this Agreement on its behalf is duly authorized, and that doing so will not violate any other agreement or legal obligation. Execution of this form by the signing parties constitutes a binding agreement enforceable against the parties in accordance with its terms.
