Recitals

WHEREAS, Client conducts business and owns or controls certain business assets and materials necessary for Client's operations, described as:

WHEREAS, Service Provider has the capability to provide controlled usage rights, services, or access for the Client's business purposes under the terms of this Agreement; and

WHEREAS, the Parties desire to set forth the terms governing permitted business use, payment, confidentiality, term and termination, and other material terms.

Scope of Work

The Service Provider shall provide the following services or grant the following limited usage rights to the Client as described below. The description shall include specific deliverables, performance standards, and any usage limitations.

Taxes: Each Party shall bear its own taxes unless otherwise stated. If additional taxes apply to payments under this Agreement, the paying party shall remit such taxes in addition to the amounts due.

Either Party may terminate this Agreement for material breach by the other Party if the breaching Party fails to cure such breach within days after receipt of written notice.

Termination for Convenience: Either Party may terminate for convenience upon days' prior written notice to the other Party. Upon termination, the Client shall pay for all services rendered and usage rights granted through the effective date of termination.

Confidentiality

"Confidential Information" means non-public information disclosed by one Party to the other, whether marked confidential or that should reasonably be understood as confidential. Each Party shall: (a) maintain Confidential Information in strict confidence; (b) use Confidential Information solely to perform under this Agreement; and (c) not disclose Confidential Information except to employees or contractors who have a need to know and are bound by confidentiality obligations no less protective than those in this Agreement.

Confidentiality Obligations shall survive termination for a period of years, except for trade secrets which shall remain protected for as long as they qualify as trade secrets under applicable law.

Indemnification and Liability

Each Party shall indemnify, defend and hold harmless the other Party from and against any third-party claims arising from the indemnifying Party's gross negligence, willful misconduct, or material breach of this Agreement. The aggregate liability of either Party under this Agreement shall not exceed the total amounts paid by the Client to the Service Provider under this Agreement in the twelve (12) months preceding the event giving rise to liability, except for liability arising from willful misconduct or breaches of confidentiality.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its choice of law principles.

Entire Agreement; Amendments

This Agreement, including any attachments or exhibits signed by the Parties, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. No amendment or modification of this Agreement shall be valid unless in writing and signed by authorized representatives of both Parties.

Notices

Notices under this Agreement shall be in writing and delivered to the addresses set forth in the Parties section or to such other address as a Party may designate in writing. Notices are effective upon personal delivery, confirmed electronic transmission, or three (3) business days after mailing by certified mail.

Miscellaneous

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The Parties are independent contractors and nothing in this Agreement creates an agency, partnership or joint venture.
