Either party may terminate this Agreement for cause upon material breach that remains uncured for days after written notice. For convenience, either party may terminate upon days prior written notice, subject to payment for all services performed through the termination date.

Confidentiality

Confidentiality obligations do not extend to information that (a) is or becomes generally known to the public through no fault of the Recipient; (b) was rightfully known to the Recipient prior to disclosure; (c) is independently developed by the Recipient; or (d) is required to be disclosed by law, regulation or valid court order, provided the Recipient gives prompt written notice to the Discloser to permit a protective order or other remedy.
