WHEREAS

WHEREAS, Company is engaged in the business of providing products, services, information, and related deliverables for business and commercial applications as described in the Scope of Work below; and

WHEREAS, Client desires to obtain and use such products, services, or deliverables solely for Client's business operations and not for personal, household, or consumer use; and

WHEREAS, the parties intend by this Agreement to define the scope, payment terms, disclaimers, confidentiality obligations, and allocation of risk between them.

SCOPE OF WORK

BUSINESS USE DISCLAIMER

Client expressly acknowledges and agrees that all products, services, documentation, recommendations, and deliverables provided by Company are intended for business or commercial use only. Company makes no warranties, express or implied, regarding fitness for personal, household, or consumer purposes. Client assumes sole responsibility for determining suitability of the products and services for Client's business purposes and for any consequences arising from such use.

Company disclaims all implied warranties of merchantability and fitness for a particular purpose to the fullest extent permitted by law. Any technical or performance data provided by Company are estimates and not guarantees unless expressly set forth in a signed writing.

PAYMENT TERMS

Late Fee:   Invoices not timely paid shall accrue the stated late fee and Company may suspend performance for unpaid amounts after written notice.

Either party may terminate this Agreement for convenience upon written notice to the other party given at least days prior to the effective termination date. Either party may terminate immediately for material breach that remains uncured for a period of thirty (30) days following receipt of written notice of such breach.

CONFIDENTIALITY

Each party (Recipient) will protect Confidential Information of the other party (Discloser) with at least the same degree of care as it protects its own confidential information, but in no event less than reasonable care. Confidential Information shall include business plans, technical information, pricing, customer data, and other nonpublic information disclosed in connection with this Agreement.

Confidentiality Period (from disclosure):   Upon termination, Recipient shall return or destroy Discloser's confidential materials as requested in writing.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Client shall indemnify, defend and hold harmless Company and its officers, directors, employees and agents from and against any third-party claims arising from Client's use of the products, services, or deliverables for any purpose other than as expressly permitted in this Agreement, including claims arising from misuse, unauthorized modification, or use outside ordinary business operations.

EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE FOR INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES. THE AGGREGATE LIABILITY OF EITHER PARTY FOR ANY CLAIM ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE BY CLIENT TO COMPANY UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. Exclusive jurisdiction for any dispute shall be the state or federal courts located in that State unless the parties agree otherwise in writing.

ENTIRE AGREEMENT
